SUMMARY ATM

Up is hiring an experienced In-House Counsel to lead all legal functions and safeguard the company’s interests across operations, partnerships, and compliance. This role will serve as a trusted legal advisor to executive leadership, managing all aspects of contract law, regulatory compliance, dispute resolution, and risk mitigation. Key responsibilities include drafting and negotiating customized contracts, reviewing legal documents for risk exposure, ensuring adherence to federal and state regulations, and guiding the business through conflict resolution when necessary. The ideal candidate brings a strategic, solutions-oriented approach and the ability to translate complex legal concepts into clear guidance for non-legal stakeholders. This position is essential to reducing legal liability, strengthening commercial agreements, and supporting the company’s growth in the financial services and technology sectors.

OBJECTIVES

Develop and manage templates for service agreements, NDAs, vendor contracts, and employment agreements tailored to ATM Up’s business model. Analyze incoming contracts for legal risks, ambiguities, and enforceability; provide clear, actionable guidance to internal stakeholders. Lead or support negotiations with partners, vendors, and clients to ensure favorable terms that reduce risk and protect the company’s interests. Maintain compliance with federal, state, and industry-specific regulations, particularly in the financial services and payments sectors. Oversee the end-to-end process for contract creation, approval, renewal, and archival using a structured contract management system. Provide legal counsel on internal and external disputes; draft demand letters, manage settlements, and coordinate with external counsel as needed. Stay up to date on changing laws and regulatory requirements; proactively update company policies and contracts accordingly. Identify risks early, develop mitigation strategies, and incorporate protections such as indemnification, limitation of liability, and termination clauses. Advise HR on hiring practices, terminations, policy changes, and employment disputes to ensure compliance with labor laws. Ensure corporate structure, board documentation, and business licenses are maintained in accordance with applicable laws. Provide legal support for mergers, acquisitions, partnerships, or expansion efforts, ensuring due diligence and contract accuracy. Provide training and guidance to staff on legal best practices, contract obligations, and risk awareness in day-to-day operations.

Builds strong relationships across departments (e.g., Sales, Operations, HR, Finance) to address legal needs effectively. Prioritizes multiple legal matters simultaneously, delivering timely results in a fast-paced, growth-driven environment. Adjusts quickly to changing laws, market demands, and business strategies, proactively preparing the company for legal challenges ahead.

EDUCATION AND EXPERIENCE

Juris Doctor (J.D.) from an accredited law school required license in FL. Active admission to the bar in Florida; eligibility to register as in-house counsel in the company’s operating state(s) if not already licensed there. 5-8 years of relevant legal experience, including a combination of law firm and in-house counsel roles (preferred) Proven experience drafting, reviewing, and negotiating a wide variety of commercial contracts (e.g., vendor agreements, service contracts, NDAs, employment agreements). Strong working knowledge of contract law, employment law, corporate governance, and regulatory compliance, preferably in the financial services, payments, or technology sectors. Experience supporting business operations, risk management, or dispute resolution in a fast-paced, high-growth environment. Familiarity with data privacy, licensing, or fintech regulations is a plus.
