Job Description
The Associate Division Counsel, Joint Replacement , is primarily responsible for proactively handling a broad range of legal matters associated with the Mako and Enabling Technology (MET) business unit within the Joint Replacement Division and providing proactive, strategic, and tactical support for the Separation Management Office related to the sale of Stryker’s U.S. spinal implants business. This individual will work closely with members of the MET business unit and Separation Management Office, functional partners, and outside counsel as an advisor and subject matter expert with regard to a variety of legal matters critical to both the business unit and the separation management office. This is a remote position based in the U.S., with a strong preference for candidates located near a Stryker hub What you will do: Serve as strategic business partner and advisor to the MET Business Unit and Separation Management Office. Effectively communicate with leadership at all levels of the organization, bringing in feedback and gaining alignment from a wide range of functions. Provide timely analysis and counsel on legal issues arising from Stryker’s sale of its U.S spinal implants business to VB Spine, including analysis of Commercial Agreements, Transition Services Agreements, and various other legal issues of significance to Stryker’s Separation Management Office. Independently draft, review, negotiate and advise on a variety of agreements (e.g., sales, services, supply, distribution, consulting, clinical study, non-disclosure, employment, and other commercial arrangements) Analyze and provide clear and concise guidance on laws, rules, regulations, and Stryker policies as necessary, including with respect to the company’s interactions with healthcare professionals. Collaborate with lawyers and other professionals from Stryker’s Centers of Expertise to manage a variety of significant matters (e.g., strategic contracting, data privacy and security, intellectual property, litigation, employment, and regulatory matters) Provide pragmatic and business relevant assessments of legal risk and exhibit ability to effectively communicate legal risk to non-legal professionals Exercise excellent judgment in identifying and escalating issues to management. Support the overall objectives of both the MET business unit and Stryker’s Separation Management Office through specific local guidance, expertise, strategy, and advice. Collaborate and communicate with colleagues, management, business partners, and outside counsel. Assist on other matters as needed.
What you need:
Required Law degree License to practice Law in any of the US states 8+ years of work experience Preferred Experience providing legal support and counseling in the areas of contracts, compliance, litigation, and business development. Developed and provided legal training. Experience providing timely legal advice in a highly regulated environment Strong experience communicating complex legal concepts clearly and concisely to non-legal audiences. $149,300 – $329,000 salary plus bonus eligible + benefits. Actual minimum and maximum may vary based on location. Individual pay is based on skills, experience, and other relevant factors.
