Mergers & Acquisitions Associate
Work Type:

We are seeking a talented and motivated M&A Associate Attorney with 3+ years of relevant experience to join our growing team. The ideal candidate will have experience in mergers and acquisitions, corporate transactions, and related legal matters in a law firm setting. This role involves advising clients on deal structuring, conducting due diligence, drafting key transaction documents, and ensuring compliance with relevant regulations.
Essential Duties and Responsibilities:
Assist in structuring, negotiating, and executing M&A transactions, including asset purchases, stock purchases, and mergers.
Draft and review key transactional documents such as purchase agreements, letters of intent, and disclosure schedules.
Conduct legal due diligence and assess risks in corporate transactions.
Advise clients on corporate governance, regulatory compliance, and contractual obligations.
Coordinate with internal teams, clients, investment bankers, and opposing counsel to facilitate deal execution.
Stay up to date with evolving laws and regulations affecting M&A and corporate transactions.
Support senior attorneys in complex deal negotiations and client communications.
Providing day-to-day legal support to corporate clients, including portfolio companies of private equity clients.
Qualifications:
J.D. from an accredited law school.
Admission to the Pennsylvania Bar (or eligibility for admission).
3+ years of M&A, corporate law, or securities transactions at a law firm.
Strong drafting, negotiation, and analytical skills.
Ability to manage multiple transactions simultaneously and work under tight deadlines.
Exceptional attention to detail and problem-solving abilities.
Excellent written/oral communication skills.
