Full Job Description Description:

Johnson Pope Bokor Ruppel & Burns, LLP is seeking a full-time Corporate Paralegal for our St. Petersburg office. The successful candidate will provide legal support and paralegal services on a wide range of corporate matters, including corporate governance, business transactions, and, ideally, SEC compliance. Experience in Real Estate and/or Estate Planning is a plus but not required. Position Overview This position involves working with attorneys on moderate to complex corporate legal matters and supporting special projects. The role requires discretion, strong organizational skills, and the ability to manage multiple tasks and deadlines in a fast-paced environment

Requirements:
Key Responsibilities:

Manage a large volume of entity formations, state corporate filings (primarily in Florida, but other jurisdictions as well), lien and litigation searches and related documentation and agreements. Prepare and maintain documents related to corporate governance, including resolutions, meeting minutes, and maintenance of corporate records. Review and analysis of due diligence materials and preparation of disclosure schedules. Support attorneys with legal documentation for business transactions and related matters. Manage and maintain corporate records and databases for partnerships, LLCs, and other entities. Arrange filings and service of documents with federal and state courts, government agencies, and other relevant parties in connection with corporate transactions. Assist with the preparation and organization of client materials and attorney work product using computer-based tools (e.g., Microsoft Word, Excel, PowerPoint). Stay informed on state filing requirements and deadlines for business entities.

Essential Knowledge, Skills, and Abilities:

Proficient in Microsoft Office (Word, Excel, PowerPoint), with the ability to quickly learn other programs. Experience in iManage and Aderant is a plus. Excellent communication skills, both written and oral. Strong organizational and administrative skills. Attention to detail with strong organizational and time management abilities. Client service-oriented with the ability to effectively communicate with clients and team members. Ability to multi-task , prioritize tasks, and work under pressure to meet deadlines. Confidentiality and professionalism in handling sensitive information. Ability to work extra hours as needed. Self-motivated with a positive attitude.

Educational/Job Experience Requirements:

Bachelor’s degree preferred but not required. A minimum of five (5) years of experience in a law firm setting is preferred, with a focus on Corporate law. Experience with E-Filing in Florida State and Federal courts is required. Experience with Real Estate and Estate Planning practice areas a plus. Experience with SEC compliance and filings is a plus.
