The Equity Administration Senior Contractor will report to and work closely with the Equity Administration and Total Rewards team to support the operational and administrative delivery of the company's equity compensation programs across CooperCompanies and its consolidated entities. This role provides experienced, hands-on support and acts as a trusted partner to internal stakeholders, without direct people management or full program ownership.
Knowledge, Skills, and Abilities:
Experience administering equity award types across multiple jurisdictions (e.g., RSUs, PSUs, stock options, and ESPPs). Familiarity with equity plan administration platforms and working with transfer agents; experience with UBS Plan Admin Pro and E•TRADE preferred. Working knowledge of SEC filings related to equity compensation, including Section 16 filings and proxy disclosures. Solid understanding of U.S. federal and state taxation of equity compensation and general awareness of global equity tax considerations. Basic understanding of accounting principles related to equity compensation. Strong attention to detail, data accuracy, and organizational skills. Ability to manage multiple priorities in a fast-paced, deadline-driven environment. Strong analytical, problem-solving, and critical thinking skills. Ability to work effectively with employees and stakeholders at all levels of the organization. Sensitivity to confidentiality requirements and employee privacy regulations (e.g., GDPR). Working knowledge of SOX controls and operating effectively within a controlled environment. Strong Excel skills and proficiency with Microsoft Office (Outlook, Word, Excel, PowerPoint). Effective written and verbal communication skills.
Work Environment:
Professional office environment. Frequently operates a computer and phone. Prolonged periods of sitting or standing at a workstation. Fast-paced, collaborative work setting.
Experience:
5+ years of relevant experience supporting global equity compensation programs within a public company environment. Hands-on experience working with equity administration systems and coordinating with cross-functional partners.
Education:
Bachelor's degree or equivalent work experience. Certified Equity Professional (CEP Level 2 or 3) preferred. For U.S. locations that require disclosure of compensation, the starting base pay for this role is between ($65.00 and $90.00 per hour) and may include cost of living adjustments. The actual base pay includes many factors and is subject to change and modification in the future. This position may also be eligible for other types of compensation and benefits. Responsible for supporting the day-to-day administration of the company's equity programs, including equity awards for employees and non-employee directors, as well as global ESPP offerings. This role will focus on processing equity transactions, maintaining accurate records, supporting employee communications, coordinating with external vendors and internal partners, and assisting with required reporting and disclosures, including Section 16 filings. The ideal candidate brings strong operational expertise, attention to detail, and the ability to contribute to process improvements within a SOX-compliant environment.
Essential Functions & Accountabilities:
Support the day-to-day administration of equity compensation programs, including processing new equity awards, exercises, cancellations, and other equity transactions. Respond to employee inquiries regarding equity programs and policies, providing clear, timely, and high-quality service to plan participants at all levels. Partner with payroll, legal, finance, tax, HR, and external vendors to support equity-related activities and data needs. Prepare routine and ad hoc reports for internal stakeholders, ensuring accuracy and consistency of equity data. Support employee understanding of equity programs through assistance with employee communications, training materials, and educational resources. Maintain the integrity and accuracy of employee and equity data within the equity administration system. Coordinate with external equity plan service providers (e.g., plan administration platform and transfer agent) to support ongoing plan operations and issue resolution. Assist with the preparation and filing of Section 16 reports (Forms 3, 4, and 5) and other equity-related disclosures, under guidance from senior team members. Support administration of ESPP activities, including enrollment, contribution changes, and quarterly purchase processes. Assist with compliance activities related to U.S. and international tax requirements for equity plans, working with internal partners and outside vendors as needed. Support reconciliation of equity activity (shares outstanding, share reserves, and share pool balances) across internal systems, transfer agent, and broker records. Provide support for equity disclosures included in 10-Qs, 10-Ks, and the annual proxy statement. Assist in preparing equity-related materials for Board and Compensation Committee meetings. Support responses to audit and internal audit requests and assist in maintaining SOX compliance and internal controls. Contribute to process improvements, documentation, and workflow enhancements related to equity administration.
