Senior M&A Associate - Boston, Massachusetts A leading Northeast-based law firm is seeking a Senior Associate to join its Corporate & Business Transactions practice in Boston. The role is focused on middle-market mergers and acquisitions, private equity transactions, strategic investments, and general corporate counseling for a diverse client base that includes founder-owned businesses, private equity sponsors, portfolio companies, financial institutions, and growth-stage enterprises. The successful candidate will work closely with partners and clients on sophisticated domestic and cross-border transactions across industries including healthcare, technology, manufacturing, financial services, consumer products, and business services. The position offers substantial client contact, leadership responsibility, and direct involvement in all phases of transactions from structuring and diligence through negotiation and closing. Responsibilities Lead and manage M&A transactions, including stock and asset acquisitions, divestitures, mergers, recapitalizations, and joint ventures Draft and negotiate purchase agreements, disclosure schedules, ancillary transaction documents, and governance materials Coordinate due diligence processes and specialist workstreams including tax, employment, IP, real estate, and regulatory matters Advise private equity sponsors and portfolio companies on platform acquisitions and add-on transactions Supervise junior associates and manage transaction execution timelines Participate in client development initiatives and maintain strong client relationships Provide practical day-to-day corporate counseling on governance and commercial matters Qualifications Approximately 7+ years of corporate/M&A experience at a law firm with a sophisticated transactional practice Strong experience handling middle-market M&A and private equity transactions independently Excellent drafting, negotiation, analytical, and project management skills Ability to manage multiple deals simultaneously in a fast-paced environment Strong academic credentials and excellent written and verbal communication skills Admission to the Massachusetts Bar, or eligibility to waive in promptly Preferred Experience Private equity sponsor-side experience Cross-border transaction exposure Experience in healthcare, technology, or regulated industries Familiarity with debt financing structures and transaction-related commercial agreements Platform & Culture The firm offers a collaborative and entrepreneurial environment with meaningful responsibility, lean deal teams, and strong partner access.
