About the Role The Legal Counsel, Commercial, provides legal support across commercial operations and strategic initiatives, with a focus on commercial contracts, procurement, third‑party relationships, R D and IP‑related matters, and facilities and real estate issues in Israel. The role advises business stakeholders on commercial activity, operational compliance and regulatory interactions, including support for investigations, enforcement actions and related disputes. It supports the negotiation and execution of commercial agreements, contributes to legal risk assessments and ensures the consistent application of legal and compliance standards. The Legal Counsel, Commercial, assists in the execution of M&A and strategic projects under the direction of the Senior Legal Counsel, Commercial & M&A, including due diligence, contract drafting and coordination with external counsel. The role works closely with procurement, third‑party relations, R D, operations and other global and regional stakeholders to ensure commercially sound, compliant and pragmatic legal solutions. It also contributes to continuous improvement within the Legal Department, including the adoption of legal technology, knowledge‑sharing initiatives and efficient use of artificial intelligence. The Legal Counsel, Commercial, reports to the Senior Legal Counsel, Commercial. Key Responsibilities Provide timely and pragmatic legal advice to business stakeholders on commercial operations in Israel, including procurement, third‑party relations, IT, indirect procurement, and day‑to‑day operational matters. Draft, review and negotiate commercial agreements, ensuring alignment with internal policies, risk management standards and commercial objectives. Support commercial dispute management, including correspondence, contract enforcement and coordination with external counsel where required. Provide legal support for facilities, real estate and site‑related matters in Israel, (including dealing with the Israeli Land Authority) . Assist with regulatory compliance, including interactions with authorities, regulatory filings, investigations, administrative actions and related litigation. Support strategic initiatives and projects, including cross‑border commercial work and high‑impact business activities, under the direction of the Senior Legal Counsel, Commercial & M&A. Advising on M&A processes, including due diligence, drafting of contractual documentation and coordination of advisors. Collaborate effectively with procurement, R D, third‑party relations, operations and other internal stakeholders to ensure integrated and compliant outcomes. Coordinate with external counsel, ensuring effective instructions and adherence to internal processes and billing guidelines. Contribute to continuous improvement in the Legal Department, including knowledge sharing and the effective use of legal technology and legal operations tools. Support the preparation of internal reports, documentation and presentations required for governance, approval processes or transaction committees. Required Qualifications and Experience Qualified lawyer with at least 6 years post-qualification experience, including relevant in-house, law firm, or industry-specific experience, preferably within a multinational, regulated environment. Experience in negotiating complex commercial agreements, including with sophisticated counterparties, and in advising on multi ‑ jurisdictional high ‑ value transactions. Expertise in a specialist legal domain (e.g. competition or contract law), with proven ability to provide strategic advice on complex matters. Experience operating across multiple jurisdictions and engaging effectively with cross-functional, regional and global stakeholders. Fluent in English; proficiency in additional languages is an advantage.
