The Director, SOX Compliance & Internal Controls is responsible for leading the Company's Sarbanes-Oxley (SOX) compliance program and ensuring the integrity and effectiveness of internal controls over financial reporting (ICFR). This role requires deep accounting expertise and the application of professional accounting judgment to assess financial reporting risk, evaluate control design and operating effectiveness, and ensure compliance with
SOX, PCAOB
standards, and the COSO framework. The Director applies technical accounting knowledge to perform financial statement risk assessments, evaluate the sufficiency of accounting controls, and advise on the accounting and controls implications of business changes, system implementations, and organizational transformation initiatives. Key Responsibilities SOX Program Management & Accounting Compliance Plan, scope, and execute the annual SOX compliance program in accordance with PCAOB auditing standards, SEC requirements, and COSO internal control framework Perform annual financial statement risk assessments to identify significant accounts, material misstatement risks, and in-scope business processes requiring controls evaluation Evaluate the design and operating effectiveness of business process controls, entity-level controls, and IT general controls (ITGCs) relevant to financial reporting Apply professional accounting judgment to assess whether identified control deficiencies represent material weaknesses, significant deficiencies, or control gaps requiring remediation Ensure the Company maintains effective ICFR in compliance with Section 302 and Section 404 of the Sarbanes-Oxley Act Controls Analysis, Testing & Risk Assessment Conduct walkthroughs and substantive testing of accounting processes and financial reporting controls across revenue, procurement, payroll, close-to-report, and other significant cycles Assess the SOX and ICFR implications of new accounting systems, ERP implementations, process changes, acquisitions, and outsourcing arrangements Analyze control deficiencies, evaluate root causes, and assess severity in accordance with PCAOB and SEC guidance Develop and monitor remediation plans for identified control deficiencies, conducting retesting to validate resolution Evaluate IT general controls including access management, change management, and computer operations as they relate to financial reporting systems External Audit Coordination & Technical Accounting Liaison Serve as the primary accounting and controls liaison for external auditors on all SOX-related matters, including audit planning, walkthroughs, testing coordination, and issue resolution Respond to external auditor requests for accounting documentation, control evidence, and technical support Coordinate integrated audit activities to align internal testing with external auditor reliance strategies and minimize duplication of effort Collaborate with Internal Audit to align testing methodologies, share work product, and ensure comprehensive controls coverage Prepare technical accounting and controls analyses, issue summaries, and risk reports for submission to senior management and the Audit Committee Controls Documentation & Accounting Standards Compliance Maintain and update process narratives, risk and controls matrices (RCMs), flowcharts, and accounting policy documentation in accordance with PCAOB standards Evaluate the accounting and controls impact of changes toU.S. GAAP, SEC
rules, and PCAOB standards and update the SOX program accordingly Develop and deliver technical training to control owners on SOX documentation requirements, accounting controls standards, and control execution Drive continuous improvement in SOX documentation quality, testing efficiency, and application of technology tools to support compliance activities Maintain SOX policies and procedures in alignment with current regulatory requirements and industry best practices Cross-Functional Controls Advisory Partner with Finance, Accounting, IT, Procurement, HR, and Operations to assess accounting and controls implications of business process changes Advise on control design for new accounting systems, automation initiatives, and process transformation efforts to ensure adequate ICFR coverage Communicate control deficiencies, remediation status, and compliance risks to executive leadership and the Audit Committee in a clear and actionable manner Provide technical accounting guidance on the application of COSO principles and SOX requirements across business units Qualifications Education Bachelor's degree in Accounting or Finance required Master's degree in Accounting, Taxation, or related field preferred Required Experience & Technical Knowledge 10+ years of progressive experience in SOX compliance, external audit, internal audit, or financial reporting controls in a technical accounting capacity Comprehensive knowledge of SOX Sections 302 and 404, ICFR requirements, COSO internal control framework, and PCAOB auditing standards Demonstrated experience performing financial statement risk assessments, controls design evaluation, and operating effectiveness testing Technical proficiency in evaluating IT general controls and their relationship to financial reporting integrity Experience coordinating with external auditors and managing the accounting and controls aspects of integrated audit engagements Strong analytical and technical accounting skills with the ability to apply professional judgment to complex controls and financial reporting matters Professional Certifications CPA (Certified Public Accountant) required or CIA (Certified Internal Auditor) — strongly preferred CISA (Certified Information Systems Auditor) preferred for candidates with significant ITGC responsibility Preferred Experience Experience with large ERP systems (SAP, Oracle, Workday, Intacct) and their related ITGC control environments Background in multi-location, regulated, or private equity-backed environments with complex accounting and reporting requirements Experience supporting accounting controls through business transformation, system implementations, or outsourcing initiatives Familiarity with GRC (Governance, Risk & Compliance) platforms used to manage SOX documentation and testing workflows Core Competencies Technical accounting expertise with the ability to apply GAAP, PCAOB, and COSO frameworks to practical compliance challenges Risk-based analytical thinking with sound professional judgment in assessing accounting control sufficiency Strong written and verbal communication skills for technical accounting and compliance reporting to executive audiences Collaborative approach to engaging Finance, Accounting, IT, and operational stakeholders on controls matters Attention to detail with a practical, business-oriented mindset in applying accounting and compliance standards Minimum Experience:
