Job Summary Reporting to the Deputy Chief Compliance and Legal Officer (DCCLO), the Compliance Counsel provides legal and strategic guidance on healthcare compliance, federal contracting ethics, and government enforcement matters in support of TriWest's corporate compliance program. The role partners closely with the Compliance, Program Integrity, and Internal Audit functions to help ensure adherence to legal, regulatory, and compliance requirements, and serves as the primary legal advisor to the TriWest Compliance Committee. Work is performed under general supervision with significant latitude for independent legal judgment, receiving broad objectives while determining approach, methodology, and deliverables. Legal recommendations are formulated independently within established regulatory frameworks. Escalates to the DCCLO on matters affecting compliance program strategy, significant enforcement exposure, or cross-functional policy decisions. Work involves high complexity due to the regulated healthcare and federal contracting environment, the breadth of applicable frameworks (HIPAA, FCA, AKS, OIG, FAR ethics, federal ethics statutes), and the need to translate complex regulatory requirements into practical, operational guidance. The ideal candidate has experience in healthcare compliance, federal contracting, or government ethics and enforcement, has led internal investigations, advised on ethics and compliance matters, and operates as a trusted counselor and business partner rather than simply a policy administrator. Experience with applicable OIG frameworks, FAR ethics requirements, federal ethics statutes and regulations, or DoD or VA contracting environments is a strong differentiator. Interacts regularly with the DCCLO, Chief Compliance & Legal Officer, TriWest attorneys, the Compliance Committee, VP Audit & Corporate Compliance, Director of Corporate Compliance, Program Integrity leadership, business unit leaders, senior officials, and new leaders. Engages externally with outside counsel, OIG personnel, federal regulators, and DoD/VA contracting officials as required. Presents legal findings and recommendations to senior leadership and the Compliance Committee.
Education & Experience Required:
- Juris Doctorate from an accredited law school
- Active state bar admission, or eligibility to obtain a limited license for in-house counsel within required timeframe
- U.S. Citizen
- Must be able to receive a favorable interim and adjudicated final Department of Defense (DoD) background investigation
- 7+ years of progressive legal and compliance experience in healthcare, including advising on HIPAA; fraud, waste, and abuse response; conflicts of interest; and other government compliance matters
- Demonstrated experience leading or overseeing internal investigations into compliance or ethics violations
- Demonstrated experience advising business teams in a highly regulated environment
- Excellent written and verbal communication skills
Preferred:
- Experience with and knowledge of the VA health system and/or the Military Health System
- In-house experience at a health plan, managed care organization, or payer-focused law firm - including investigations and corporate governance - or equivalent government experience
- Experience designing and administering elements of an enterprise compliance program
- Familiarity with FAR ethics provisions, federal ethics statutes and regulations (18 U.S.C. §§ 201-209), and OIG enforcement frameworks

- Provide legal advice on ethics and compliance matters, including Code of Conduct interpretation, conflicts of interest, gifts and gratuities, outside activities, and regulatory obligations across the organization.
- Advise on, conduct, and oversee internal investigations into reported ethics and compliance violations; prepare legal findings memoranda; advise on corrective action, disciplinary process, and disclosure obligations.
- Serve as legal counsel to the Compliance Committee - drafting agendas, preparing substantive materials, advising on committee governance, and documenting committee actions.
- Draft, review, and help maintain compliance policies, procedures, and the Code of Conduct to ensure legal sufficiency and regulatory alignment.
- Design, develop, and implement the legal aspects of compliance and ethics training and staff resources, including content for new leaders and senior officials.
- Counsel senior officials and new leaders on their individual compliance obligations, ethics standards, and legal requirements.
- Advise senior officials and business leaders on compliance risks and risk-mitigation strategies in their operational areas.
- Analyze self-disclosure obligations required under applicable federal law (including OIG self-disclosure protocols and DoD/VA contract reporting requirements); coordinate regulatory submissions when appropriate.
- Advise the fraud prevention and Program Integrity programs on compliance and ethics issues; assist in developing monitoring, audit, and remediation plans for compliance or ethics-related fraud occurrences.
- Monitor and analyze OIG enforcement activity, HHS guidance, and other federal regulatory developments; assess impact on business operations and translate into legal risk assessments and internal advisories.
- Manage the conflict-of-interest review and remediation process, including legal analysis of recusal, divestiture, and waiver questions.
- Partner with the CCLO and DCCLO to develop, implement, and enhance compliance policies, procedures, and controls.
