Job Description

Position Summary The Corporate Governance Manager supports the organization s governance, regulatory, and insurance operations by coordinating Board and Committee materials, managing key corporate and legal filings and records, and maintaining essential records and disclosures. The individual in this role will report directly to the Chief Administrative Officer, while serving as a trusted partner and liaison for the Legal & Compliance team and other stakeholders throughout the organization. This role helps protect the company s ability to operate across jurisdictions, supports informed leadership decision-making, and contributes to the overall effectiveness, compliance, and reputation of the organization. Essential Functions Board and Governance Support Translate notes and stakeholder input into published Board and Committee minutes Distribute approved Board content through a secured web portal (Directors Desk, etc) Responsible for administering Board Surveys and Assessments, including processes of drafting, approval, publishing, and reporting on results. Distribute and track Conflict of Interest disclosures for Board members and Company leadership team (Directors and above). Maintain Board Orientation Book for new Board Members. Coordinate contracts, cost estimates, and executive signatures for Board and Committee meeting venue logistics. Administrative and Operational Support Provide administrative support to Chief Administrative Officer and Board/Committee functions Manage Company insurance policies and broker relationships Provide Certificates of Insurance as needed for customers and in support of RFP purposes. Licensing and Regulatory Filings Manage annual third-party administrator (TPA) filings in coordination with external vendors/partners to ensure timely filing and responses of all licensure related requirements. Process Secretaries of State (SOS) and State Corporation Commission (SCC) filings for Corvesta-related entities Submit required annual Insurance Holding Company filings (Forms
B, C, D, F, G
; Enterprise Risk Report) Oversee VA Corporate Governance Annual Disclosure Complete Managed Care Health Insurance Plan (MCHIP) License Renewals & Complaint Reporting Qualifications/Education/Experience Requires 3 years of experience in licensing, insurance, corporate compliance or legal services with relevant experience in insurance operations or equivalent experience. Preference given for regulatory, healthcare and/or dental insurance. Experience with multi-state insurance requirements is highly desirable. Associate s degree or relevant experience required with High School Diploma/GED Paralegal certification, associate s or bachelor s degree in legal studies, compliance, or a related field strongly preferred. Experience in a law firm, in-house legal department, or regulatory/compliance environment strongly preferred. Must have superior analytical skills and outstanding attention to detail. Ability to multi-task, prioritize and manage own workload. Must be organized and deadlines should be met to meet various work demands. Team-player. Proficient in Microsoft Office, particularly Excel and PowerPoint. Experience with databases or other software storing systems preferred. Strong written and verbal communication skills tailor written and verbal communication across a variety of audiences. Strong interpersonal and communication skills.

Physical demands:
While performing the duties of this job, the employee is occasionally required to walk; sit; use hands to finger, handle, or feel objects, tools or controls; reach with hands and arms; balance; stoop; talk or hear. Use of hands is required for such technological devices such as a computer, telephone and others. The employee must occasionally lift and/or move up to 15 pounds. Specific vision abilities required by the job include close vision, distance vision, color vision, peripheral vision, depth perception and the ability to adjust focus. The employee will be required to travel (sometimes long distances) to attend required meetings.
Work environment:
The work is limited to the office environment with occasional trips to other office facilities or locations necessitating walking outdoors or driving. The noise level in the work environment is usually minimal.
