Job Description:
A premier global law firm is seeking a highly motivated Associate to join its Private Equity M&A practice in New York. This role offers the opportunity to work on sophisticated domestic and cross-border transactions for top-tier private equity sponsors and their portfolio companies. Key Responsibilities Advise private equity sponsors and portfolio companies on acquisitions, divestitures, leveraged buyouts, growth equity investments, minority investments, and other complex transactions. Draft and negotiate purchase agreements, merger agreements, equity commitment letters, and ancillary transaction documents. Manage due diligence processes and coordinate with specialist teams (tax, finance, regulatory, employment, etc.). Lead transaction workstreams and supervise junior associates. Interface directly with clients, opposing counsel, and advisors to drive transactions to successful completion. Qualifications J.D. from a top-tier law school with strong academic credentials. 3-6 years of relevant M&A experience at a major law firm, with substantial exposure to private equity transactions. Demonstrated ability to run significant portions of transactions independently. Strong drafting, negotiation, and project management skills. Admission to the New York Bar (or eligibility to waive in). Ideal Candidate Profile Commercially minded with strong business judgment. Detail-oriented and able to manage multiple complex matters simultaneously. Comfortable working in a fast-paced, high-performance environment.
