Job Description

The Houston office of Jackson Walker is seeking a Finance associate with 3-5 years of corporate finance experience to join its growing debt finance practice. Our team represents private equity funds, independent sponsors, family offices, portfolio companies, corporate borrowers, lenders, and private credit providers in sophisticated middle-market financing transactions. This role is focused primarily on borrower- and sponsor-side matters, including acquisition financings, leveraged buyouts, add-on acquisitions, refinancings, growth and working capital financings, and bridge financings. The ideal candidate will have meaningful experience drafting and negotiating:
  • Senior secured, unitranche, second lien, and mezzanine financings
  • Acquisition financings and leveraged buyouts
  • Syndicated, club, and bilateral credit facilities
  • Private credit and direct lending transactions
  • Revolving, delayed draw, and term loan facilities
  • Asset-based facilities secured at the SPV or borrowing-base level
  • Subscription, NAV, and other fund finance transactions
  • Intercreditor and subordination arrangements, collateral and guaranty documentation, and opinion letters Beyond drafting credit agreements and ancillary loan documents, associates manage transaction workstreams, coordinate transactions from structuring through closing, and work directly with clients, opposing counsel, lenders, and financing sources.
The role offers meaningful responsibility, significant client contact, and hands-on drafting while working closely with experienced deal lawyers in a growing practice. Candidates should bring outstanding academic credentials, exceptional drafting and negotiation skills, sound commercial judgment, and the ability to manage deals independently while thriving in a collaborative, fast-paced team.
