Associate Attorney - Corporate and Transactional Law Associate Attorney - Corporate and Transactional Law Position Overview We are seeking a motivated Associate Attorney with a focus on corporate and transactional law to join our dynamic team. The successful candidate will advise clients on a broad range of corporate matters including M&A, private equity and venture capital transactions, financing and capital markets work, corporate governance, entity formation, and cross-border deals. This role requires strong drafting and negotiation skills, an ability to manage due diligence and SEC filing processes, and the capacity to counsel boards and senior management on regulatory compliance and corporate strategy. The position offers opportunities to work on complex transactions, provide practical legal solutions, and collaborate closely with deal teams across practice areas. Key Responsibilities Advise clients on mergers and acquisitions (domestic and cross-border), including deal structuring, negotiation, and documentation. Draft, review, and negotiate a wide range of commercial and corporate agreements, including purchase agreements, shareholder agreements, joint venture agreements, financing documents and subscription agreements. Conduct and manage due diligence investigations, coordinate diligence teams, prepare diligence reports and risk assessments, and advise on risk mitigation strategies. Handle SEC filings and compliance matters, including preparation and review of registration statements, proxy statements, Form 8-Ks, and ongoing reporting obligations. Provide counsel on corporate governance, board-level matters, director and officer duties, and corporate secretarial requirements. Support private equity and venture capital transactions, including fund investments, portfolio company matters, and exit strategies. Advise on capital markets transactions and financing matters, including debt and equity offerings, convertible instruments and securities law considerations. Work on corporate restructurings, reorganizations, and recapitalizations, including negotiation and implementation of transaction documents. Coordinate cross-border transactions and collaborate with foreign counsel to address jurisdictional, tax and regulatory issues. Ensure regulatory compliance across industry sectors, including securities regulation, industry-specific rules and anti-corruption/AML considerations. Conduct legal research and provide written legal opinions and client memoranda on complex corporate and transactional issues. Act as board counsel and provide corporate secretarial services, including preparation of board materials, minutes, resolutions and maintenance of corporate records. Manage client relationships, communicate transaction status, and work with partners and other deal team members to drive transaction timelines and successful outcomes. Qualifications Juris Doctor (JD) from an accredited law school and admission to WSBA. 2+ years of experience in corporate and transactional law at a law firm or in-house legal department, demonstrating hands-on experience with M&A, private equity, venture capital or financing transactions. Proven experience with transaction documentation, contract drafting and negotiation on complex deals. Familiarity with securities law and experience preparing or reviewing SEC filings and disclosure documents. Solid experience conducting and managing due diligence for acquisitions and investments. Knowledge of corporate governance, entity formation, shareholder agreements, joint ventures, and board counsel responsibilities. Experience with capital markets, financing transactions, and corporate restructurings is highly desirable. Comfort working on cross-border transactions and coordinating with foreign counsel and advisors. Strong legal research, analytical, drafting and problem-solving skills with an ability to provide practical commercial advice. Excellent communication, project management and client-facing skills, with the ability to manage multiple matters and deadlines. High ethical standards, attention to detail, and the ability to work both independently and collaboratively in a fast-paced environment. Prior exposure to regulatory compliance, AML/anti-corruption considerations, and industry-specific regulatory regimes is a plus.
