Statement about position/company: A job at TSMC Arizona offers an opportunity to work at the most advanced semiconductor fab in the United States. TSMC Arizona's first fab will operate its leading-edge semiconductor process technology (N4 process), starting production in the first half of 2025. The second fab will utilize its leading edge N3 and N2 process technology and be operational in 2028. The recently announced third fab will manufacture chips using 2nm or even more advanced process technology, with production starting by the end of the decade. Multiple positions available. Legal Counsel (In-House) - Brief Description Work on-site as a member of the TSMC Arizona Legal Department, providing general corporate and commercial legal services to assist in achieving business goals while minimizing undue risk. Provide creative and cost-effective support and advice to in-house clients in operations, facilities, EHS, supply chain, finance, and human resources teams.

Responsibilities:

Research and anticipate unique legal issues that could impact the company. Negotiate, write and facilitate internal stakeholder approvals on a wide variety of agreements. Develop policies and provide training. Work in a wide variety of areas, including corporate policies and standard operating procedures; commercial contract drafting and negotiation; intellectual property and trade secret protection; export, privacy and related regulatory compliance; dispute resolution; and investigations and corporate compliance matters.

Minimum Qualifications/Requirements:

Education and Work Experience:

Must have a Juris Doctorate (JD) or a Master of Laws (LLM) or foreign equivalent degree and 4 years of experience as a lawyer.

Technical skills:

Must have at least 1 year of international transactional experience in a high volume national or multinational law firm, or multinational in-house setting, advising U.S.-based clients with a foreign parent corporation. Must have at least 1 year of experience in each of the following: drafting and negotiating general contracts and commercial agreements; conducting trainings with non-lawyers on legal subjects; preparing legal documents related to cross-border mergers and acquisitions, and foreign direct investment transactions; advising on corporate compliance with laws of foreign jurisdictions in overseas operations; and supporting global procurement with supply agreements, contract manufacturing agreements, and licensing arrangements. Must have active license in any US state bar.

Physical Requirements:

Candidates must be willing and able to work on-site at our Phoenix Arizona facility.

Standard Work Hours :
