About the Role A multi-site Arizona healthcare organization operating outpatient centers and clinics — and developing emergency department and micro-hospital facilities that will add inpatient services upon opening — seeks an experienced Corporate Attorney as its in-house legal lead. This is a high-autonomy role for a self-directed attorney who can own our healthcare compliance program, draft and litigate, and manage outside counsel across a fast-moving, multi-entity operation (corporate and LLC). What You'll Do Regulatory Compliance Own the compliance program across Stark, Anti-Kickback, HIPAA/HITECH, corporate practice of medicine, and state Medicaid rules; run audits and serve as point of contact for government inquiries Structure and revalidate financial relationships with physicians and affiliated entities to meet applicable exceptions and safe harbors Manage Medicare/Medicaid enrollment, revalidation, and provider-based compliance (42 C.F.R. § 413.65), including CMS attestations and inquiries Contracts & Transactions Draft, negotiate, and audit all enterprise agreements: construction subcontracts, MSAs, professional services agreements, BAAs, leases, financing, operating, and employment/contractor agreements Lead acquisitions, divestitures, and joint ventures from diligence through closing; structure related-party transactions with fair-market-value documentation Manage corporate governance across corporate and LLC entities (board, shareholder, member, and manager meetings, resolutions, and records) Revenue Cycle & Litigation Lead No Surprises Act/IDR appeals and Medicare/Medicaid administrative and OMHA (ALJ) proceedings Draft and file claims and pleadings in Arizona state and small-claims court to recover unpaid/underpaid claims; issue payer demand letters; oversee self-pay collections Perfect and enforce medical liens and pursue third-party/personal-injury recovery for accident and trauma patients Handle subpoenas, litigation holds, and records production; manage and supervise outside litigation counsel Governance, Risk & Advisory Advise the CEO and Board on conflict-of-interest, related-party, and fiduciary matters; maintain COI policies and protocols Maintain clinical-administrative separation policies and train leadership as the enterprise scales Handle employment matters, physician credentialing, and medical staff bylaws Oversee the insurance program (professional liability, GL, D&O, cyber) and enterprise risk reporting Manage outside counsel relationships, budgets, and invoices; prepare board materials; supervise paralegal/legal-support staff Requirements J.D. and active Arizona bar license, or eligibility to obtain one (admission on motion or in-house counsel registration) within one year of hire 1+ years' experience as an attorney in an in-house, transactional, or healthcare role Working knowledge of Stark, Anti-Kickback, HIPAA/HITECH, and Medicare/Medicaid rules Proficiency with LexisNexis and Westlaw; strong drafting, negotiation, and attention to detail Able to work independently in a fast-paced environment with limited support staff Preferred Healthcare regulatory, payer/reimbursement, or provider-side experience Construction or commercial real estate contracting; M&A/joint venture experience No Surprises Act/IDR and Medicare/Medicaid appeals State court/small-claims collections; personal injury, medical lien, and third-party recovery Provider-based conversion experience (42 C.F.R. § 413.65) Benefits 401(k) and retirement plan
