CMG Worldwide, Inc. has an opening for a full-time Counsel, Business & Legal Affairs to manage legal and business matters involving intellectual property (IP) licensing, enforcement, and personality representation. The role requires demonstrated knowledge in IP and entertainment law. Responsibilities:
Draft, review, and negotiate intellectual property agreements, including production agreements, endorsement agreements, book option purchase agreements, life story rights agreements and licensing agreements. Conduct legal research and provide analysis on intellectual property law, including copyright, trademark law, statutory and common law rights of publicity across U.S. and international jurisdictions. Prepare and deliver legal opinions on rights clearance and usage inquiries, including fair use evaluations and public domain assessments. Identify, monitor, and pursue intellectual property infringements, including preparing cease and desist letters, demand letters, coordinating enforcement and pre-litigation resolution efforts. Draft and negotiate settlement agreements to resolve disputes. Assist in prosecuting and maintaining trademark portfolios, including tracking deadlines and coordinating filings with external counsel. Conduct chain of title reviews and assist in rights clearance for intellectual property and media projects. Respond to allegations of intellectual property infringement, including drafting defensive responses, evaluating fair use arguments, and developing strategies to mitigate potential liabilities. Required Licensure:
Admission to the State Bar of California Required Education, Knowledge, and Employment Experience:
A minimum of a Juris Doctor (JD) or Master of Laws (LLM) from an accredited School of Law in the United States, plus 3 years of professional experience in transactional entertainment law, with demonstrated knowledge of intellectual property, copyright and entertainment law. This position requires the following specific knowledge and employment experience: Law school coursework must have included contract law, copyright law, and entertainment law. A minimum of 3 years of employment experience drafting contracts in the entertainment industry, including talent management agreements, production agreements, location agreements, distribution agreements, endorsement agreements, and agreements relating to copyright assignment and licensing. A minimum of 3 years of employment experience advising on legal issues relevant to talent representation, intellectual property and entertainment law. A minimum of 3 years of employment experience providing representation for negotiations in the entertainment industry, including negotiations for development, acquisition, production, and distribution of media content. A minimum of 3 years of employment experience conducting legal research, drafting legal opinions and preparing memos on rights clearance and intellectual property issues.
