Associate Corporate Counsel, YouTube Global Media Partnerships corporate_fare YouTube place Los Angeles, CA, USA bar_chart Advanced info_outline X This role may also be located in our Playa Vista, CA campus. Applicants in the

Qualified applications with arrest or conviction records will be considered for employment in accordance with the Los Angeles County Fair Chance Ordinance for Employers and the California Fair Chance Act. Minimum qualifications: JD, LL.B., equivalent degree, or equivalent practical experience. 3 years of experience in attorney work in business development, intellectual property matters, and contract law. Experience in film and television distribution, intellectual property/contract law, and agreement drafting. Admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located. Preferred qualifications: 5 years of experience in the broadcast, cable television industry, or related industry licensing content for distribution platforms. Experience advising and negotiating complex commercial transactions in the broadcast or cable television industry. Experience with emerging forms of content distribution, including direct-to-consumer and advertiser supported content distribution. Familiarity with licensing various types of content including film, television, and sports rights. Understanding of US communications law. Ability to have a high level of comfort escalating and presenting key issues to executive management. About the job As associate corporate counsel on the Global Media Partnerships subteam, you will work on negotiating, drafting and analyzing a wide variety of content distribution licenses for YouTube and YouTube TV as part of Google's growing digital media business. You will negotiate and draft partnership agreement for linear television distribution, new subscription products, free premium content and transactional video on demand content with YouTube's major media partners. Your job will also include a wide cross section of YouTube transactional and commercial legal work, including advertising and product implementation agreements in support of YouTube's Global Media Partnerships team. You will counsel business development executives and leads on agreement interpretation issues, including risk analysis and product advice. The US base salary range for this full-time position is $218,000-$315,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Responsibilities Negotiate, draft, and review intellectual property licenses focusing on digital content distribution, with a primary focus on linear television distribution and subscription content offerings made available via YouTube. Negotiate, draft, and review distribution agreements in connection with YouTube's major media content offerings, as well as a wide range of technology, content, and related agreements. Advise executive management, business clients, as well as finance, product, and other company colleagues on legal issues and risks, agreement structure, negotiation strategy, and company policies and procedures. Provide business development, strategy, product management, and marketing teams with legal guidance on compliance with applicable license agreements and related agreements, U.S. regulatory matters, and internal approval processes. Support contractual analysis and diligence across existing agreements in support of product feature launches and enablement.
