The Opportunity:
Join a pioneering company in the biotechnology industry with a mission to deliver life-changing therapies to patients! As Corporate & Securities Counsel, you will play a pivotal role in supporting the company's growth and innovation through expert legal guidance in a thriving, well-funded biotech environment in San Diego.
Responsibilities:
Provide legal counsel on a broad range of securities matters, including SEC filings, periodic reports, and compliance with public company disclosure obligations. Advise on corporate governance matters and support board and committee activities. Draft, review, and negotiate commercial contracts, including strategic collaborations, licensing, and partnership agreements typical in biotechnology firms. Manage legal due diligence and documentation for mergers, acquisitions, and other strategic initiatives. Support the company's growth by partnering with cross-functional teams, including R D, finance, and business development.
Must-Have Skills:
Juris Doctor (JD) degree and admission to practice law in California. 3-5 years of public company experience in securities law and corporate governance, preferably in the biotechnology or life sciences industry. Strong track record of preparing and reviewing SEC filings and managing public company reporting obligations. Expertise in commercial contract drafting and negotiation, especially related to biotech collaborations and licensing. International experience.
Nice-to-Have Skills:
Familiarity with international securities law and cross-border transactions. Understanding of equity compensation plans and corporate finance instruments typical in biotechnology. Fluency in Mandarin.
