Job Summary Reporting to a General Counsel, this role is responsible for supporting the business on a broad range of commercial and technology-focused legal matters, with a primary focus on drafting and negotiating complex commercial agreements. The role will partner closely with cross-functional stakeholders to enable business objectives while managing legal and commercial risk. Responsibilities and Duties Draft, review and negotiate a wide range of commercial agreements, including customer, supplier, and partner contracts Provide legal support on technology-focused transactions, particularly within hardware and semiconductor-related contexts Advise internal stakeholders on contractual rights, obligations, and risk mitigation strategies Support negotiations of agreements governed by US law and international frameworks Collaborate with cross-functional teams including sales, procurement, finance, and engineering Contribute to the development and improvement of standard contract templates and processes Provide guidance on intellectual property and licensing considerations within commercial agreements Assist with open source software licensing matters where relevant Manage multiple transactions simultaneously, ensuring timely delivery and alignment with business priorities Support broader corporate and legal initiatives as required
Candidate Profile Essential:
Qualified lawyer in a relevant jurisdiction with strong commercial legal training Significant experience drafting and negotiating commercial contracts in a technology-focused environment Experience working with agreements governed by the laws of multiple jurisdictions, primarily California and Texas, but also including the laws of England and Wales Strong understanding of contract law and risk allocation principles Ability to communicate complex legal concepts clearly to non-legal stakeholders Experience working cross-functionally in a fast-paced, international environment Strong organizational skills and ability to manage competing priorities Desirable Experience within the semiconductor or hardware industry In-house legal experience within a technology company Familiarity with intellectual property licensing Exposure to open source software licensing Experience working across UK and US legal framework In addition to a competitive salary, Graphcore offers a competitive benefits package.
