The ideal candidate will manage all phases of transactionsfrom due diligence and document drafting to negotiation and closingwhile sometimes acting as outside general counsel for clients and coordinating deal closure schedules across internal and external stakeholders. Key Responsibilities Lead and manage legal due diligence for acquisitions, dispositions and financing transactions; identify and address key legal risks and exposures. Draft, review and negotiate transaction documents including purchase agreements, merger agreements, investor rights agreements, shareholder agreements, subscription agreements, loan documents and security agreements. Counsel clients on equity and debt financings, capital structure, corporate governance and compliance matters; coordinate with lenders, investors and other counterparties. Serve as outside general counsel for select clients: provide day-to-day corporate advice, prepare board and shareholder materials, and advise on corporate formation and governance. Develop, manage and monitor detailed closing and post-closing schedules; coordinate internal teams, outside counsel, accountants and other advisors to ensure timely and orderly closings. Draft and negotiate a broad range of commercial contracts and agreements, including NDAs, service agreements, licensing arrangements and employment-related documents. Supervise and mentor junior associates and paralegals; delegate tasks, review work products and ensure quality control on transactional deliverables. Support post-closing integration and implementation activities, including escrow releases, indemnity claims and regulatory filings. Maintain client relationships, communicate progress and issues clearly, and proactively propose solutions to advance deal objectives. Qualifications Juris Doctor (JD) from an accredited law school Barred in CA 1+ years of transactional experience in corporate law, with a focus on M&A and financings; 3+ years preferred Demonstrated experience with mergers and acquisitions (M&A), equity and debt financings, corporate formation, corporate governance and commercial contracts. Proven track record handling due diligence, drafting and negotiating complex transaction documents and managing closing schedules. Experience serving as outside general counsel or providing day-to-day corporate legal support is highly desirable. Strong project management skills with the ability to coordinate multiple stakeholders, manage timelines and meet tight deadlines. Excellent drafting, negotiation and communication skills; able to translate legal issues into practical business advice. High attention to detail, sound judgment, and a client-service orientation; ability to work independently and as part of a team. Familiarity with securities laws, regulatory filings and industry-specific considerations for private and public transactions is a plus.
