POSITION OVERVIEW
The In-House Counsel provides practical legal guidance in support of federal construction, procurement, and commercial contracting activities. This role focuses on managing risk, supporting business objectives, and advising on claims, disputes, and contractual matters. The position operates in coordination with the VP of Administration, Sr. Contracts & Procurement Manager, senior leadership, and other stakeholders to support informed decision-making in complex and evolving situations. This is a business-integrated legal role requiring sound judgment, strong writing skills, and the ability to operate effectively in a fast-paced environment.
CORE RESPONSIBILITIES
Client-Facing (Government Contracts) Provide legal support across the lifecycle of claims and disputes, including: Potential claims and issue development Requests for Equitable Adjustment (REAs) Certified claims and responses Contracting Officer Final Decisions (COFDs) under the Contract Disputes Act Appeals, arbitration, and litigation Support early involvement in matters with claim potential to help shape strategy, documentation, and positioning. Subcontractor-Facing Provide legal guidance on subcontractor disputes and enforcement actions, including: Backcharges and cost recovery Terminations for Default and Convenience Subcontractor claims and disputes Arbitration, mediation, and litigation Engage prior to significant or irreversible actions to ensure defensibility and alignment. Contracts & Business Advisory Review and provide guidance on subcontracts, supplier agreements, Non-Disclosure Agreements (NDAs), Teaming Agreements (TAs), Joint Venture Agreements (JVAs), and related documents Provide practical interpretation of contract and subcontract terms, FAR/DFARS requirements, and applicable regulations Advise on risk, compliance, and business considerations in support of company objectives Collaboration & Coordination Work in coordination with the VP of Administration, Sr. Contracts & Procurement Manager, senior executives, and other stakeholders, as required, to: Evaluate claims, disputes, and high-risk matters Align on strategy and recommended actions Ensure consistency between documentation, legal position, and business objectives This role operates as a collaborative partner, supporting—not replacing—Contracts & Procurement functions. Outside Counsel & Dispute Support Serve as liaison with outside counsel as required Support and coordinate legal strategy in arbitration, litigation, and formal proceedings Assist in preparation and management of claims, defenses, and related documentation Qualifications Juris Doctor (JD) from an accredited law school 5-10+ years of relevant legal experience Experience supporting government contracts, construction, or federal procurement environments strongly preferred Experience may be gained in a law firm, corporate legal department, or within federal, state, or local government Strong writing, analytical, and problem-solving skills Active bar license in good standing in any U.S. jurisdiction Preferred Experience Familiarity with Federal Acquisition Regulations (FAR) and agency supplements (e.g., DFARS) Experience with REAs, claims, COFDs, and dispute resolution processes Background in construction, environmental, or federal contracting environments Working Style & Expectations Exercises sound judgment in complex and evolving situations Communicates clearly and effectively, both written and verbal Works independently while maintaining strong coordination with internal teams Focuses on practical, business-oriented legal guidance Supervisory Responsibility This position currently has no direct supervisory responsibilities. The role is expected to evolve and may include supervisory or management responsibilities over time, depending on organizational needs and demonstrated capability. Role Flexibility The responsibilities of this role are expected to evolve based on company needs, workload, and internal processes. The position is intended to provide broad legal support across contracts, procurement, and corporate activities as required.
Pay:
$150,000.00 - $190,000.00 per year
