Job Description

GeoStabilization International (GSI), Access Limited, and RoadGuard together form a leading infrastructure solutions platform dedicated to protecting people and strengthening critical infrastructure across North America and New Zealand. GSI is the premier geohazard mitigation firm specializing in emergency slope stabilization, landslide repair, grouting, and micropiles through innovative design-build delivery. Access Limited brings over a century of steep-slope expertise and operates North America's largest fleet of spider excavators, delivering complex rockfall and geotechnical solutions in the most challenging environments. RoadGuard, founded in 2024, unites industry-leading roadway safety companies providing guardrail, bridge railing, highway signage, fencing, and specialty fabrication services. Across all our businesses, we are driven by innovation, extreme ownership, technical excellence, and a relentless commitment to measurable results that improve safety and infrastructure resilience. We're looking for a Director of Legal Affairs & General Counsel who is more than technically sharp — someone who thinks like an operator, moves fast under pressure, and builds legal infrastructure that scales. This is a seat at the leadership table, not a back-office function.
WHO THRIVES AT GSI GSI
rewards people who take ownership, operate with urgency, and make things happen in ambiguous conditions. If you need a perfect process to perform, this isn't the place. If you build the process while performing, it is.
WHAT YOU'LL OWN
Lead all contract negotiation and drafting across a high-volume portfolio of construction, design-build, and subcontractor agreements — with a focus on risk allocation, liability, and insurance in geotechnical and specialty construction contexts. Serve as the go-to legal partner for project teams on disputes, claims, lien rights, bond matters, and
OSHA/DOT
compliance across multiple jurisdictions. Build and maintain contract playbooks and templates that compress deal cycles and protect GSI's margins. Oversee regulatory and environmental compliance programs — permitting, right-of-way, and transportation infrastructure requirements with public agencies nationwide. Support M&A activity, joint ventures, and strategic partnerships from due diligence through close. Manage outside counsel relationships, litigation strategy, and legal spend with a results-driven, cost-conscious mindset. Advise HR and operations on employment law, multi-state compliance, and workforce matters with speed and precision.
Provide governance leadership:
entity maintenance, board resolutions, IP protection, and subsidiary structures.
WHAT WE'RE LOOKING FOR
We're not just checking boxes — we're looking for someone who has demonstrated the ability to solve hard problems under real constraints, build systems that outlast them, and grow into broader executive responsibility over time. D. from an ABA-accredited law school; active bar membership in at least one U.S. state (multi-state preferred). 8+ years of legal experience with deep roots in construction law — in-house, private practice, or both. Proven track record in high-volume contract negotiation in construction or infrastructure environments. Fluency in OSHA, DOT, and construction regulatory frameworks — you advise with confidence, not caution. Strong business judgment. You give practical, risk-calibrated guidance — not just legally correct answers.
Bonus:
in-house experience at a specialty contractor, GC, or PE-backed company; familiarity with AIA/ConsensusDocs; public agency contracting exposure. Soil Nail Holdings and its subsidiaries are equal opportunity employers. All qualified applicants will receive consideration for employment without regard to race, color, religion, sex, sexual orientation, gender identity or expression, pregnancy, age, national origin, disability status, genetic information, protected veteran status, or any other characteristic protected by law.
