We are looking for a skilled Corporate Associate to join our Corporate Practice in Stamford, Connecticut. The ideal candidate has 3-6 years of experience in corporate law, with a focus on mergers and acquisitions (M&A) and general transactional matters. This role offers the opportunity to work closely with partners and clients, handling complex transactions and providing strategic legal counsel.Responsibilities:
- Handle a variety of corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and strategic investments.
- Draft, review, and negotiate key transactional documents such as purchase agreements, merger agreements, and shareholder agreements.
- Conduct comprehensive due diligence, analyzing corporate records, contracts, and regulatory filings, and prepare detailed summaries.
- Assist with transaction structuring, manage deal timelines, and oversee closing processes.
- Provide legal advice on corporate governance, entity formation, capitalization, and regulatory compliance.
- Collaborate with attorneys across various practice areas, including tax, finance, employment, and litigation, to address complex legal issues.
- Supervise and mentor less experienced associates and paralegals, offering guidance on transactional matters.
- Maintain direct communication with clients, fostering strong relationships and delivering tailored legal strategies.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- 3+ years of experience in transactional law, including drafting and negotiating key deal documents.
- Strong knowledge of corporate governance, business structures, and M&A processes.
- Exceptional drafting, analytical, and organizational skills.
- Proven ability to manage multiple transactions in a fast-paced environment.
- Keen attention to detail and sound business judgment.
- Team-oriented mindset with a proactive and solutions-focused approach.
