As we scale our operations and deepen our regulatory footprint across multiple states, we are seeking a General Counsel to serve as our in-house legal leader. This is a foundational role for an attorney who thrives at the intersection of health insurance regulation, CMS compliance, and commercial operations - someone who can build the legal and compliance infrastructure needed to support our affiliated agencies, protect the company from regulatory exposure, and partner with executive leadership on strategic growth initiatives.

Boca Raton, Florida Key Responsibilities Corporate & Governance Serve as primary legal advisor to executive leadership Draft, review, and maintain corporate governance documents (bylaws, operating agreements, board resolutions) Manage entity structure, including any holding company, subsidiary, or affiliate relationships Support capital raises, debt facilities, or ownership transactions Regulatory & Licensing Compliance Monitor and maintain all state insurance licenses (resident and non-resident) across all operating entities Ensure compliance with producer licensing requirements for all staff and appointed producers Track Employee Benefits related regulatory changes across relevant states and on a federal level Interface with state DOIs, and manage/respond to regulatory inquiries Manage any MGA or program administrator compliance obligations if applicable Contracts & Vendor Management Draft, negotiate, and review all material contracts: carrier appointment agreements, producer agreements, MGA/MGU agreements, service agreements, vendor contracts, and NDAs Maintain contract repository and renewal calendar Advise on contract risk allocation, indemnification, and limitation of liability provisions Advise on necessary insurance coverages for the Synergy-related companies, its officers, employees, etc. E&O and Claims Oversight Manage E&O program in coordination with broker of record Oversee E&O claims and potential claim situations; interface with defense counsel Establish and maintain internal incident reporting and triage protocols Advise on coverage disputes and carrier relationship issues with legal dimension Employment & HR Legal Support Advise on employment matters: hiring, termination, non-solicitation/non-compete enforceability, wage and hour compliance Draft and maintain employment agreements, offer letters, and restrictive covenants Support HR on disciplinary matters, investigations, and accommodation requests Advise on staffing changes with potential legal exposure (reductions in force, M&A integration) M&A and Business Development Lead or support legal due diligence on acquisitions, partnerships, or affiliate transactions Draft and negotiate LOIs, purchase agreements, and transition service agreements Advise on post-close integration obligations and rep/warranty matters Review any revenue-sharing, referral fee, or producer compensation arrangements for regulatory compliance Privacy, Cyber, and Data Governance Oversee compliance with applicable privacy laws Manage data breach response protocol and interface with cyber insurers and counsel Review vendor data handling agreements; assess third-party risk Advise on AI tool usage from a legal and regulatory risk perspective Litigation Management Manage all active litigation and arbitration matters Retain and supervise outside counsel; control legal spend Maintain litigation hold procedures Track and report material legal exposure to leadership Advertising, Marketing, and Errors Review marketing materials, website content, and client-facing communications for regulatory compliance Ensure advertising complies with state DOI requirements for licensed entities Qualifications Required Experience & Education 10+ years of experience in the legal industry J.D. Degree Demonstrated success in building and maintaining relationships with staff, management and clients. Industry Expertise Understanding of the insurance industry, primarily in the employee benefits sector Leadership & Strategic Capabilities Demonstrated financial acumen and business mindset with a quantitative, fact-based approach to decision making. Ability to think strategically and "out-of-the-box" while constructively challenging the status quo. Strong ability to influence and negotiate with internal and external stakeholders.
