Job Description

We are looking for a Transactional Attorney to support a nonprofit organization in Chicago, Illinois through a Long-term Contract engagement. This role is ideal for an attorney who can manage a broad range of commercial and vendor agreements while providing practical, business-focused legal advice to internal stakeholders. The position works in a hybrid environment and partners closely with teams across procurement, finance, technology, and other departments to help reduce risk, strengthen compliance, and keep contracting activities moving efficiently.
Responsibilities:
  • Prepare, examine, and negotiate a wide range of contracts, including service agreements, master agreements, statements of work, confidentiality agreements, software arrangements, and licensing documents.
  • Counsel internal teams on legal terms, potential exposure, and compliance considerations so business decisions are informed and aligned with organizational needs.
  • Partner with procurement, finance, IT, and operational stakeholders during vendor evaluation and onboarding to support smooth and compliant contracting processes.
  • Review and advise on critical provisions such as privacy obligations, confidentiality, indemnity, insurance, intellectual property ownership, and liability allocation.
  • Confirm that agreements meet applicable federal, state, and local legal requirements as well as internal nonprofit policies and standards.
  • Assist with privacy and information security matters related to contracting, including applicable data protection obligations.
  • Create and refine templates, playbooks, and standard language to improve consistency, turnaround time, and overall contract management practices.
  • Draft related legal documents such as releases, intellectual property agreements, and other internal records, and help address disputes or questions involving contract performance and interpretation.
The pay range for this position is 45 to 65. Benefits available to contract/contract professionals, include medical, vision, dental, and life and disability insurance.
