Our firm acts as outside general counsel for several long-standing corporate clients and supports them on a wide range of legal matters including corporate governance, commercial contracts, intellectual property matters, succession and estate planning. We are seeking a professional, detail-oriented attorney who values practical problem solving, strong client relationships, and high quality legal work in a collaborative small-firm environment. This role offers the opportunity to work directly with business owners, executives, and families on a wide variety of corporate and estate planning matters within a professional, team oriented environment that values responsiveness, attention to detail, and long-term client relationships. Primary Responsibilities Corporate and Transactional Work Draft, review, revise contracts, agreements, and related documents Assist with business entity formations, corporate maintenance, governance, and compliance matters Support business transactions, organizational restructures, and operational legal matters Review and analyze legal documents with strong attention to detail and practical business considerations Work collaboratively with attorneys and staff on ongoing client matter and projects Responsibilities Include- Corporate Clients Communicating directly with business owners, executives, and advisors Assisting with ongoing otutside general counsel matters for business clients Preparing corporate documents including resolutions, consents, operating agreements, shareholder agreements, and related materials Managing multiple client matters while maintaining responsiveness and organization Providing practical and professional support on day to day business legal matters Responsibilities Include- Estate Planning Drafting and reviewing trusts, wills, powers of attorney, deeds, and related estate planning documents Assisting with estate planning file management, document preparation, and client communications Coordinating with clients and financial advisors regarding estate planning matters and follow-up items Supporting attorneys through estate planning review, execution, and closing processes Billing Record billable time accurately using firm billing procedures Prepare detailed and professional billing entries Maintain awareness of deadlines, efficiency, and overall client service expectations Assist in maintaining timely completion of billable work and client matters Typical Billable Work Includes Contract drafting and revisions Corporate governance and entity maintenance Business formations and organizational documents Corporate agreements and transactional support Estate planning document drafting and revisions Client meetings, coorespondance, and legal analysis Legal research and document review Qualifications Juris Doctor degree from an accredited law school Licensed and in good standing to practice law in Illinois Minimum 3 + years of experience in corporate law Strong drafting, organizational, and communication skills Ability to manage multiple projects and deadlines effectively Professional demeanor with strong client service skills Candidates should be comfortable working with: Microsoft Word (advanced document formatting) Microsoft Excel Document redlining and comparison tools Document management systems Familiarity with AI systems Work Environment OLC is a small collaborative law firm environment where professionalism, attention to detail, and reliability are essential.
