Job Description

C.H. Robinson is currently seeking a Senior Counsel - Corporate to serve as an in-house attorney responsible for complex corporate and public company matters, including transactional, securities, and governance work. In this role you will lead the drafting and negotiation of corporate agreements, advise business teams on legal and regulatory issues, support public company reporting and compliance requirements, and provide legal guidance on new business initiatives and practices. Critical to your success will be providing proactive, broad-based corporate legal and compliance support and overseeing a wide range of corporate, SEC, and regulatory matters. You will report to the Deputy General Counsel and Assistant Corporate Secretary and be based in Eden Prairie, MN.
Responsibilities:
Provide legal support on mergers, acquisitions, divestitures, and strategic investments, including due diligence, structuring, negotiation of term sheets and definitive agreements, and coordination of deal execution and integration Develop a strong understanding of C.H. Robinson's business operations, services, technology, markets, and competitive landscape to identify trends and inform legal strategy Ensure compliance with SEC rules and Nasdaq listing standards, including drafting and reviewing periodic filings (e.g., Form 10-K, 10-Q, 8-K, DEF 14A, and Section 16 reports) Provide legal support in connection with credit facilities and other financing transactions, and partner with Treasury and Tax on intercompany arrangements, including loans and dividends Assist with the development and disclosure of sustainability initiatives Partner with Human Resources, including Compensation and Equity teams, to support equity plan administration, executive compensation, and benefit-related matters Partner with the privacy and compliance teams to support data privacy, information governance, and broader compliance initiatives, including advising on regulatory requirements, internal policies, and risk mitigation strategies Monitor and analyze legal and regulatory developments affecting public companies and coordinate compliance with internal stakeholders Build strong business partner relationships by providing pragmatic, solutions-oriented advice that balances business objectives and risk Ensure public-facing terms, policies, and disclosures remain current and aligned with applicable laws and company practices
Required Qualifications:
Juris Doctorate degree 5+ years of legal experience working within a public company or equivalent law firm experience Proven experience in corporate law, including M&A, contracts, securities law, and familiarity with tax and accounting considerations
Preferred Qualifications:
Strong experience leading or supporting complex M&A transactions, including structuring, cross-border deals, carve-outs, and post-close integration, with the ability to translate diligence into clear risk and business decisions Familiar with key deal mechanics such as purchase price adjustments, earnouts, and representations and warranties insurance Significant experience advising public company issuers, with a solid understanding of federal securities laws and Nasdaq requirements Experience supporting Board and committee governance, disclosures, and broader corporate governance practices Demonstrates strong business and legal judgment, with a practical, solution-oriented approach to risk Broad experience across corporate compliance areas, including data privacy, information governance, and regulatory frameworks Strategic thinker with strong problem-solving capabilities, sound organizational skills, and high attention to detail Operates effectively both independently and cross-functionally, with strong drafting and negotiation skills for sophisticated agreements Able to understand and advise on business priorities beyond purely legal considerations High degree of professionalism, ethics, and integrity Commitment to a diverse and inclusive work environment We will review applications for this role on an ongoing basis and encourage all interested candidates to apply at their earliest convenience. Compensation Range $119,800.00 - $202,300.00 The base pay range displayed on the job posting reflects the minimum and maximum base pay for this specific location.
