Job Description

Description We are looking for a Corporate Counsel to provide legal support for a high-priority restructuring initiative. This Contract position will focus on managing key transactional documents, coordinating governance actions across entities, and supporting diligence activities tied to the broader transaction. The ideal candidate brings strong experience in corporate transactions and governance, along with the ability to work effectively with internal stakeholders, outside counsel, and financing parties.
Responsibilities:
  • Prepare and refine a broad range of documents required to complete a complex restructuring, including principal agreements and supporting closing materials.
  • Coordinate the legal components of transaction execution by organizing consents, certifications, releases, reaffirmation documents, and other ancillary items.
  • Manage entity-level governance tasks by supporting board and officer actions, updating organizational documents, and helping implement required corporate approvals.
  • Partner with company counsel and cross-functional stakeholders to keep legal deliverables aligned with transaction timelines and requirements.
  • Conduct and support diligence efforts by gathering, reviewing, and organizing legal, financial, and vendor-related materials relevant to the transaction.
  • Track third-party approvals and consent requirements, helping ensure outstanding items are identified and resolved before closing.
  • Assist with information-rights matters by preparing and distributing materials requested by senior lenders, creditors, or other transaction participants Requirements
  • Demonstrated experience handling corporate transactions, restructurings, or similarly complex legal matters.
  • Strong knowledge of corporate governance, including board actions, officer authorizations, and governing document updates.
  • Ability to draft, review, and coordinate a high volume of transaction-related legal documents with accuracy and attention to detail.
  • Experience supporting legal diligence processes and managing document collection across multiple stakeholders.
  • Proven ability to coordinate effectively with internal business teams, external counsel, and third parties in a deadline-driven environment.
  • Strong organizational and project management skills with the ability to track multiple legal workstreams at once.
  • Juris Doctor (JD) and active license to practice law in any US jurisdiction.
