Job Description
Our client is a utility-scale solar, wind, and storage developer headquartered in Durham, NC, with expertise in developing, originating, financing, constructing, and operating solar photovoltaic, wind, and storage projects. Their strategy includes greenfield development, co-development, and acquisitions of later-stage projects. Our client has developed and achieved commercial operation on over 80 solar projects with an aggregate generating capacity of approximately 1.2 GW.
About the position:
The Associate Corporate Counsel will support the project development pipeline from site acquisition to construction. They will provide expertise in corporate formation documents, contract drafting and negotiation, and overflow support to the entire legal team.
Main responsibilities:
Draft, review, and negotiate a wide variety of agreements, including but not limited to power purchase agreements, EPC-related agreements, master service agreements, non-disclosure agreements, M&A transactions (including due diligence), etc. Provide expertise in organizational formation documents and manage related processes. Assist in project finance-related transactions (i.e., ancillary supporting documents, Know-Your-Customer diligence, etc.) Ensure quality, clarity, and consistency across legal documents. Contribute to the development and improvement of contract templates and internal processes.
Professional experience and education/training:
JD from an accredited law school. Current license to practice law. Minimum 1-3 years' experience. Prior experience in renewable energy preferred, but not required. Strong computer skills, including working knowledge of Microsoft Suite (Word, Excel, PowerPoint and Outlook). Experience working with Datarooms such as Box, Dropbox, and SharePoint.

Possess effective time management, project management, dispute resolution and interpersonal skills. Excellent written and oral communication skills. Ability to effectively communicate with individuals at all different levels in a transaction in a respectful and professional manner. Team player who can integrate well with a small and high-performing team. Comfortable engaging in commercial negotiations and drafting.
