Bar Full Job Description Position Summary:
Richard E. Pierson Construction Co., a leading heavy highway and heavy civil contractor, is seeking an experienced Corporate Counsel to serve as the company's primary legal advisor. This position will provide practical legal guidance and risk management support across all areas of the business, with a strong emphasis on construction law, contract review and negotiation, claims management, regulatory compliance, labor and employment matters, and dispute resolution. The ideal candidate will have experience supporting construction, infrastructure, engineering, or related industries and possess a strong understanding of public and private construction contracts, subcontract agreements, procurement requirements, and construction-related legal risks. This role will work closely with executive leadership, operations, project management, estimating, human resources, and finance teams to protect the company's interests while supporting business growth and project success.
Essential Duties & Responsibilities:
Contract Review & Negotiation
  • Draft, review, negotiate, and manage construction contracts, subcontracts, purchase orders, consulting agreements, and vendor agreements.
  • Review project specifications, bid documents, contract requirements, and procurement documents to identify legal and contractual risks.
  • Advise management on contract obligations, risk allocation, indemnification provisions, insurance requirements, liquidated damages, and dispute resolution clauses.
  • Assist project teams in interpreting contract language and resolving contractual issues throughout project execution. Claims & Dispute Management
  • Manage construction claims, change order disputes, delay claims, differing site conditions, and other project-related disputes.
  • Coordinate with project managers and executives to develop claim strategies and supporting documentation.
  • Oversee relationships with outside counsel and consultants when litigation, arbitration, mediation, or administrative proceedings arise.
  • Assist in preparing and defending claims involving owners, subcontractors, suppliers, and public agencies. Risk Management & Compliance
  • Identify legal, regulatory, and operational risks across the organization and recommend mitigation strategies.
  • Ensure compliance with federal, state, and local laws applicable to construction operations.
  • Support compliance efforts related to public works projects, prevailing wage requirements, contractor licensing, procurement regulations, environmental regulations, and safety requirements.
  • Review and advise on insurance coverage matters and coordinate with brokers and carriers on claims and coverage issues. Employment & Labor Support
  • Provide legal guidance on employment practices, employee relations, workplace investigations, disciplinary actions, and policy development.
  • Assist with labor-related matters involving unions, collective bargaining agreements, and workforce compliance requirements.
  • Review and update company policies and procedures to ensure legal compliance and best practices. Corporate & Business Support
  • Support executive leadership on strategic business initiatives, acquisitions, partnerships, and corporate governance matters.
  • Draft and review corporate documents, confidentiality agreements, and other business-related legal documents.
  • Provide practical legal advice to support operational decision-making while minimizing risk exposure.
  • Conduct legal research and monitor developments affecting the construction industry.
Qualifications:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in New Jersey or ability to become licensed in New Jersey.
  • Minimum of 5-10 years of legal experience, preferably with significant exposure to construction law, infrastructure projects, engineering, or related industries.
  • Prior in-house counsel experience is preferred but not required.
  • Strong understanding of construction contracts, subcontract agreements, claims management, and dispute resolution.
  • Experience working with public agency contracts and public works projects is highly preferred.
  • Knowledge of labor and employment law, risk management, and regulatory compliance.
  • Familiarity with construction plans, specifications, and project documentation is preferred.
  • Experience managing outside counsel and litigation matters.
Knowledge, Skills & Abilities:
  • Exceptional contract drafting, review, and negotiation skills.
  • Strong business judgment and ability to provide practical legal solutions.
  • Excellent analytical, organizational, and problem-solving abilities.
  • Ability to assess risk while supporting operational and business objectives.
  • Strong communication skills with the ability to effectively interact with executives, project teams, clients, subcontractors, and regulatory agencies.
  • Ability to manage multiple priorities in a fast-paced construction environment.
  • High level of professionalism, integrity, and discretion.
Preferred Experience:
  • Heavy highway, heavy civil, site development, transportation, utility, bridge, marine, or infrastructure construction experience.
  • Experience with DOT, municipal, county, state, and federal construction contracts.
  • Knowledge of design-build, CMAR, and traditional bid-build project delivery methods.
  • Familiarity with OSHA, environmental compliance, and contractor licensing requirements.
  • Experience supporting unionized construction workforces.
