Job Description

Pickrel Schaeffer & Ebeling, an AV-rated law firm, is seeking a sophisticated Lateral Attorney with 5-7+ years of experience in corporate and business law with exposure in real estate law to join our growing Business and Real Estate Law practice group in Dayton, Ohio. This is a strategic hire for an attorney who is ready to move to the next level in their practice, and is seeking a platform that offers high-level transactional support, lead opportunities, direct client management, and a clear path toward partnership. The ideal candidate thrives in a fast-paced environment and possesses the versatility to handle both general corporate matters and the real estate components that often accompany middle-market transactions.
Key Responsibilities Merger & Acquisition/Business Transactions:
Lead drafting and negotiation of asset/stock purchase agreements, merger agreements, and divestitures for a diverse client base.
Corporate Governance:
Advise boards and executives on compliance issues and assist with drafting and interpreting company policies.
Commercial Contracts:
Act as outside general counsel for clients, reviewing and negotiating nosiness contracts, licensing agreements, and vendor contracts. Business /
Entity Setup:
Advise clients and business owners on the choice of entity, entity formation and structure, and drafting operating agreements, codes of regulations, by-laws, and resolutions.
Real Estate Integration:
Support real estate aspects of corporate transactions, including commercial lease reviews and due diligence, in conjunction with the firm's real estate attorneys.
Client Leadership:
Serve as a point of contact for business owners, providing pragmatic legal advice that aligns with their goals.
Qualifications & Skills Experience:
5-7+ years of dedicated practice in corporate and business law.
Education:
J.D. from an accredited law school with a strong academic record.
Licensure:
Active and licensed member in good standing with the Ohio State Bar.
Real Estate Exposure:
Functional knowledge of commercial real estate transactions preferred.
Soft Skills:
Exceptional drafting precision, a "client-first" mentality, and the ability to work in a team-focused and collaborative environment.
