Job Description

We are looking for a Contract Attorney to support sophisticated business transactions and commercial agreements for clients around the United States. This role is ideal for someone in the legal field who thrives in a client-facing setting and can translate complex legal issues into practical business guidance. The attorney will contribute across the full transaction lifecycle, from structuring and drafting through negotiation and execution, while helping clients manage risk and achieve strategic objectives.
Responsibilities:
  • Prepare, analyze, and negotiate a broad portfolio of agreements tied to acquisitions, ownership changes, business operations, and strategic partnerships.
  • Advise clients on transaction terms and legal considerations related to mergers, succession strategies, entity structuring, and transfer of ownership interests.
  • Work closely with business owners, consultants, accountants, and additional stakeholders to keep transactions moving efficiently toward completion.
  • Evaluate contractual exposure and recommend balanced solutions that protect client interests while supporting commercial goals.
  • Oversee agreements through each stage of the contract lifecycle, including drafting, redlining, negotiation, execution, and document maintenance.
  • Support governance and organizational matters by assisting with operating documents, ownership arrangements, and related corporate records.
  • Research legal questions involving contracts, corporate matters, and employment-related issues, then provide clear and actionable guidance.
  • Strengthen internal legal processes by refining templates, standard provisions, and contracting best practices for recurring matters.
