Job Description

Associate AttorneyPosition OverviewWe are seeking a skilled Associate Attorney to join our dynamic law firm. The Associate Attorney will handle a mix of commercial litigation and transactional matters, providing high-quality legal representation and advice to corporate and individual clients. The role requires strong legal research and writing abilities, sound judgment, and the capacity to manage a varied caseload while supporting business development and client relationships.

Key ResponsibilitiesManage a caseload of commercial litigation matters, including drafting complaints, answers, motions, and briefs and conducting motion practice.

Perform transactional work such as drafting and negotiating contracts, purchase agreements, nondisclosure agreements, and other business documents.

Conduct thorough legal research and analysis to support case strategy, memos, and client advice, using legal research platforms and primary/secondary sources.

Prepare and respond to discovery requests, review documents, supervise e-discovery processes, and coordinate with third-party vendors.

Represent clients in court appearances, hearings, depositions, mediations, and settlement conferences; prepare witnesses and coordinate exhibits.

Provide practical, business-focused advice on corporate and business law issues, risk management, and compliance matters for commercial clients.

Lead due diligence efforts for mergers, acquisitions, and commercial transactions and prepare related closing documents.

Collaborate with partners and senior attorneys on case strategy, supervise paralegals and junior associates, and participate in mentoring and training.

Manage client communications, billing entries, and case budgets; contribute to business development and client retention activities.

Maintain up-to-date knowledge of relevant laws, regulations, and industry trends through continuing legal education and professional development.

QualificationsJuris Doctor (J.D.) degree from an accredited law school and admission to the state bar in good standing.2+ years of experience practicing law with a mix of commercial litigation and transactional work; law firm or in-house experience preferred.

Demonstrated experience in litigation practice, including motion practice, discovery, depositions, and courtroom appearances.

Strong transactional drafting and negotiation skills, with experience preparing purchase agreements, NDAs, and other business contracts.

Excellent legal research, analytical, and writing skills, with proficiency in legal research tools (e.g., Westlaw, LexisNexis or similar).Solid understanding of business law principles, commercial litigation strategy, and contract law.

Ability to manage multiple matters, prioritize tasks, meet deadlines, and work effectively under pressure.

Exceptional interpersonal and client-facing skills, with an emphasis on clear communication and practical problem-solving.

High ethical standards, attention to detail, and strong organizational skills; familiarity with e-discovery and document management tools a plus.
