This is a great opportunity for an experienced attorney who enjoys a flexible schedule and working independently on sophisticated matters. The Contract Attorney will work on a project basis, providing legal expertise and support to our clients while ensuring compliance with applicable laws and regulations.
Job Description:
We are looking for a highly skilled attorney with a minimum of 5 years of experience in business transactions and litigation. This is a (mostly) remote, contract position ideal for a self-directed professional who enjoys autonomy and flexibility. Occasional meeting would be required. Responsibilities Draft and review commercial contracts, service agreements, NDAs, and corporate documents. Advise clients on business entity formation, corporate governance, and regulatory compliance, mergers, acquisitions, and other business related transactions. Assist with pre-litigation matters including demand letters and settlement negotiations. Provide legal analysis and strategic support on business disputes. Communicate effectively with clients and team members. Conduct thorough legal research to support case preparation and strategy development. Draft and review legal documents, including contracts, briefs, and pleadings. Represent clients in court proceedings and negotiations as necessary. Collaborate with other attorneys and legal professionals to ensure comprehensive legal representation for clients. Stay updated on changes in laws and regulations relevant to practice areas. Maintain accurate records of all case-related documents and communications. Experience Juris Doctor (JD) degree from an accredited law school. Active license to practice law in California (required). Minimum 5 years of experience practicing law, with a strong focus on business transactions and business litigation. Strong research and writing skills with the ability to articulate complex legal concepts clearly. Proficient in drafting and reviewing contracts, entity formation, commercial leases, demand letters, and pre-litigation dispute resolution. Experience litigating cases in court is preferred but not mandatory. Excellent analytical skills and attention to detail with a commitment to providing high-quality legal services. Must be based in or near Orange County, CA.
