Corporate Attorney

We have been engaged by an innovative, boutique law firm to identify a Corporate Attorney (3-6 years' experience) to join its growing team. The firm represents companies operating in emerging and rapidly evolving industries and serves as trusted outside counsel to founders, startups, and growth-stage businesses in emerging sectors, including video games, content creation, esports, user-generated content (UGC), and more.

The firm is seeking a Corporate Attorney to join its fully remote team. This role focuses primarily on private-company M&A, corporate governance, and startup financing, while working closely with founders and leadership teams in emerging industries.

Attorneys in this role will serve as outside general counsel to a portfolio of clients, providing practical, business-oriented legal advice as companies grow and navigate complex corporate decisions.

The ideal candidate has 3-6 years of experience with private-company M&A, corporate governance, and startup financing, along with an interest in or exposure to industries such as gaming, sports, content creation, esports, and digital platforms. This position requires someone who enjoys client-facing work and thrives in a collaborative, entrepreneurial environment.

Overview of Responsibilities:

Mergers & Acquisitions (Primary Focus)Support and lead private-company M&A transactions on both the buy side and sell sideDraft and negotiate asset purchase agreements, stock purchase agreements, and related transaction documentsWork on transactions involving privately held companies and private equityCorporate GovernanceDraft and revise operating agreements, bylaws, and board resolutionsWork with startup clients to structure ownership, equity, and governance frameworksReview and rebuild existing corporate documentation to align with client goals and operational needsStartup & Venture FinancingAssist with seed, Series A, and Series B financingsSupport clients through venture fundraising and investor negotiationsTax MattersIdentify potential tax considerations within transactions and corporate structuresCollaborate with internal or external specialists as needed (approximately 10-15% of workload)
