Job Description

A well-regarded boutique law firm in San Luis Obispo is seeking an experienced Corporate/Business Transactions Attorney to join our team. This is an immediate opening, and we are open to both employee and independent contractor/of-counsel arrangements. The right fit matters more than the structure. About the Role You will handle a broad range of corporate and business transactional matters for a diverse client base, including small to mid-size businesses, entrepreneurs, and principals. Our team values practical, solutions-oriented counsel and strong client relationships. Responsibilities Draft, review, and negotiate business contracts, purchase agreements, operating agreements, and other transactional documents Advise clients on entity formation, governance, and structuring Support mergers, acquisitions, and business sales from letter of intent through closing Assist with financing transactions, including equity and debt arrangements Identify and manage legal risk in commercial transactions Qualifications JD from an accredited law school and active California State Bar membership (or ability to waive in) 3+ years of experience in corporate/business transactions Strong drafting and negotiation skills Ability to work independently and manage client relationships Experience in a small firm or boutique environment a plus Arrangement & Compensation We are flexible on structure: Full-time or part-time employee, OR Independent contractor / of-counsel arrangement Remote work is welcome.
