The Attorney will primarily be responsible for examining and drafting business agreements and contracts with customers, vendors and other outside parties. Managing copyrights, trademarks, patents, trade secrets, insurance matters and employee relations that expand past Human Resources. The Attorney will ensure legal compliance regarding Government Contracting, support of mergers and acquisitions (M&A) activities, employee safety and data protection programs, corporate governance and establish the prudence of defending and prosecuting lawsuits. To ensure success the Attorney needs to have sound knowledge and understanding of applicable laws and regulations and the ability to make prudent legal decisions.
Responsibilities include:
Advising executive, senior management and board on various matters such as legal rights, and new and existing laws and advise on current and future business structures and legal entities Reviewing of contracts and managing and protecting Company's intellectual property Manage legal relationships with manages of private equity funds and other investment vehicles, and advise on compliance with securities laws applicable to the relationships Negotiating and preparation of real estate development and general business agreements Managing organizations legal matters, providing legal advice to all departments on myriad of issues Full spectrum of government and commercial contracting from proposal to claims as well as providing advice on data rights and program related disputes at prime and subcontract levels Review and provide legal advice on various financing credit and loan agreements. Examining and creating draft agreements, such as employment and master servicing agreements Maintaining knowledge of organizations operations and legal documents Manage compliance matters addressing a wide array of regulations among several industries Promulgating and creating directives of corporate acts and decisions Handling statutory filings, such as licensing forms, reviewing and analyzing title report/commitment; seek and cure any title defects Liaising with outside counsel regarding their assignments Maintenance of corporate records Employment law, litigation management and dispute resolution. Conduct legal research as needed
Requirements:
Experience working in real estate, construction, and business law Legal experience in a wide range of contracts, human resources, and M&A Experience working with an executive team, in a fast-paced, challenging work environment Experience with corporate governance issues and corporate secretarial duties Excellent verbal and written communication skills Knowledge of statues, rules and regulations pertaining to businesses Juris Doctorate degree from an accredited law school Current member of the
Texas State Bar Association Pay:
$110,000.00 - $130,000.00 per year
