This role goes beyond traditional contract review. You will partner closely with leadership and cross-functional teams to research unfamiliar legal topics, identify legal and commercial risks, and develop practical, business-oriented solutions that help the company move forward. This position is designed as a growth opportunity with the potential to develop into an in-house corporate counsel supporting strategic legal, compliance, and business initiatives. Key Responsibilities Corporate Governance & Entity Management
- Manage entity formation and ongoing maintenance, including state filings, amendments, registered agent changes, and assumed name filings.
- Maintain corporate records, minute books, ownership records, and governance documentation.
- Prepare board and shareholder materials, including resolutions, written consents, meeting minutes, and approval packages.
- Track corporate compliance obligations and key deadlines. Commercial Contracts & Business Advisory
- Review, draft, and negotiate customer, supplier, manufacturing, distribution, licensing, investment, and other commercial agreements.
- Identify legal, financial, operational, and commercial risks.
- Recommend practical solutions that balance legal compliance with business objectives.
- Prepare contract redlines and support contract negotiations.
- Coordinate contract approvals, execution, storage, and ongoing obligation tracking.
- Support business teams in implementing agreements and resolving commercial issues. Legal Research & Regulatory Support
- Research legal and regulatory issues across a broad range of business topics, including: o Corporate governance o Commercial contracts o FDA and FTC regulations o Food, beverage, and consumer product compliance o Import/export and customs o Distribution and e-commerce o Advertising and marketing compliance o Intellectual property o Cross-border business operations
- Quickly learn unfamiliar legal topics and summarize key legal requirements, business risks, and practical recommendations.
- Coordinate with outside counsel when specialized expertise is needed and critically evaluate their advice before presenting recommendations to management. Cross-functional Business Support Partner with Sales, Marketing, Finance, Operations, Supply Chain, Product Development, and Leadership to:
- Understand business objectives before providing legal advice.
- Prioritize legal risks based on business impact.
- Recommend practical, commercially reasonable solutions.
- Support implementation of new business initiatives while managing legal and regulatory risks.
- Drive projects from research through execution. Corporate Legal Administration
- Maintain legal templates, document libraries, version control, and execution records.
- Support audits, financing transactions, due diligence, and other corporate projects.
- Coordinate legal documentation and communications with outside counsel. Qualifications Required
- Juris Doctor (JD) or equivalent law degree.
- Bar admission or eligibility to become licensed in the United States preferred.
- Strong legal research, analytical, and writing skills.
- Excellent organizational skills and attention to detail.
- Ability to manage multiple priorities in a fast-paced environment.
- Comfortable handling confidential information. Preferred
- 0-3 years of experience through a law firm, in-house legal department, internship, or judicial clerkship.
- Exposure to commercial contracts, corporate governance, regulatory research, or corporate transactions.
