The position emphasizes hands-on transactional work, contract negotiation, regulatory compliance, and risk management in a dynamic energy environment, while collaborating closely with business units such as land, operations, and finance teams. This role delivers practical, business-focused legal support primarily on upstream E&P, midstream, and commercial operations. The ideal candidate is an experienced energy attorney capable of independently managing a portfolio of moderate-to-complex matters, providing support and clear advice to non-legal stakeholders, and contributing to efficient deal execution and operational compliance with limited supervision.
Key Responsibilities:
Regulatory and Compliance Advice :
Monitor and provide guidance on federal, state, and local regulations (e.g., Utah DOGM and BOGM, BLM, environmental permitting, FERC) to support operational activities and minimize risk. Help prepare and file requests for agency action and represent company as needed in administrative hearings.
Transactional Support :
Draft, review, negotiate, and advise on general corporate agreements including consulting agreements, confidentiality agreements, employment agreements, as well as oil and gas contracts, including master service agreements (MSAs) joint operating agreements (JOAs), purchase and sale agreements (PSAs), surface use agreements, and marketing/sales contracts.
General Business Support :
Deliver timely legal counsel on day-to-day commercial and operational issues, risk assessments, and policy matters.
Outside Counsel Management :
Engage and oversee external counsel on assigned projects while controlling costs.
Additional Duties :
May contribute to special projects, compliance initiatives, or policy advocacy depending on company needs.
Qualifications and Experience Required :
Juris Doctor (J.D.) from an accredited U.S. law school. Active membership in good standing with at least one state bar (admission in Utah or an energy-focused state such as Texas, Oklahoma, North Dakota, or Colorado is highly preferred). 5-8 years of relevant legal experience, including substantial time focused on oil and gas, energy transactions, or related natural resources matters. Successful completion of pre-employment drug screening
Preferred :
Prior in-house or law firm experience supporting oil & gas clients (upstream or midstream emphasis strongly preferred). Familiarity with environmental, permitting, or regulatory frameworks in the energy sector. Hands-on background in energy contract drafting/negotiation and land-related issues.
Skills and Competencies:
Strong drafting, negotiation, and analytical skills with a practical, commercial mindset. Ability to communicate complex legal concepts clearly and concisely to business teams. High degree of initiative, judgment, and ability to handle multiple priorities in a fast-paced setting. Collaborative team player with strong interpersonal skills and a solutions-oriented approach. Proficiency in legal research tools and standard productivity software.
