Corporate M&A Attorney (5-8 Years)

Primarily in-office with flexibility once established gpac is conducting a confidential search on behalf of our partner , a well-established regional law firm, for a Corporate Mergers & Acquisitions Attorney with 5-8 years of experience to join a growing transactional practice in Fairfax County. This is an excellent opportunity for an attorney who enjoys sophisticated deal work, meaningful client interaction, and the collaborative environment of a respected mid-sized firm . Attorneys here work closely with clients on strategic business matters while benefiting from a culture that values initiative, professional development, and long-term career growth. The Opportunity The attorney in this role will play a key part in advising clients across a broad range of corporate and transactional matters, including mergers and acquisitions, corporate governance, and general business transactions. You will work directly with experienced partners and clients on transactions involving private companies, entrepreneurs, and closely held businesses. This position offers hands-on responsibility, exposure to high-quality transactional work, and the ability to develop strong client relationships early in your career . Responsibilities Draft and negotiate merger and acquisition agreements Advise clients on corporate governance and business structuring Conduct due diligence for complex transactions Assist with entity formation, restructuring, and business operations Collaborate with attorneys across practice areas including real estate, tax, and litigation Support middle-market transactions involving privately held companies across multiple industries Qualifications 5-8 years of corporate transactional experience Experience with mergers and acquisitions and corporate governance matters Strong drafting, negotiation, and analytical skills Ability to manage multiple transactions and maintain strong client relationships Active license to practice law in Virginia or ability to waive into the Virginia Bar Compensation & Benefits Market-competitive base salary commensurate with experience Discretionary bonus structure 1700 billable hour target Comprehensive benefits package including health, retirement, and professional development support Why This Firm Attorneys here benefit from the best aspects of a mid-sized firm platform —high-quality legal work, direct access to decision-makers, and a collegial environment where attorneys are encouraged to take initiative and build their practices.
