Job Description

Location Designation:
Hybrid - 3 days per week Business Unit Overview Join the Office of the General Counsel where we collaborate with diverse business units, providing effective and creative legal guidance that aligns with New York Life's core values. Role Overview:
We are seeking a proactive and detail-oriented paralegal to support the Corporate Transactions unit within the Office of the General Counsel in connection with corporate finance transactions, mergers and acquisitions, and general corporate matters. This role will play a key part in managing transaction processes, maintaining corporate records, and partnering with internal stakeholders across the organization. The right candidate will be energized by both the substance of the work and the opportunity to help shape how that work gets done — bringing curiosity, a willingness to question existing processes, and an interest in how technology can make legal teams more effective.
What You'll Do:
As a member of the Corporate Transactions team, your responsibilities will include:
  • Organizing and maintaining a virtual data room for ongoing multi-billion dollar financing program and managing related due diligence processes, including organizing internal document collection and interfacing with outside counsel
  • Managing documentation and closing deliverables for financing program transactions (approximately 15-20 per year)
  • Assisting attorneys in preparing and finalizing updated materials for securities offerings
  • Overseeing execution of transaction documents, including managing signature processes and maintaining records of executed agreements
  • Coordinating submission of regulatory filings and reports
  • Preparing and maintaining transaction checklists and assisting with transaction closings and post-closing matters
  • Maintaining records of team transactions
  • Partnering with the head of Corporate Transactions to identify opportunities to improve and modernize how the team works — including evaluating legal technology tools, streamlining transaction workflows, and building more scalable processes

Required Skills:
  • Bachelor's degree preferred
  • Strong organizational and communication skills
  • High level of attention to detail and ability to manage confidential information
  • Ability to manage multiple concurrent workstreams and deadlines in a fast-paced transaction environment
  • Proficiency in
Microsoft Word and Adobe Pro Preferred Skills:
  • Experience with Microsoft Excel
  • Relevant corporate legal experience
  • Interest in or experience with legal technology, workflow automation, or document management tools
Pay Transparency Salary Range:
$59,000-$84,500 Overtime eligible: Nonexempt Discretionary bonus eligible: Yes Sales bonus eligible: No Actual base salary will be determined based on several factors but not limited to individual's experience, skills, qualifications, and job location. Additionally, employees are eligible for an annual discretionary bonus. In addition to base salary, employees may also be eligible to participate in an incentive program.
