SUMMARY The Corporate Paralegal supports the Legal Department, focusing on fund compliance for the Company's registered investment advisor ("RIA"), holistic fund platform support, corporate governance matters, and legal operations. This role will provide support through administration of compliance processes, governance support, document management, and special projects.
KEY RESPONSIBILITIES
Assist with administration of the Company's RIA's fund compliance platform, including quarterly and annual reporting processes (with respect to both the RIA's internal compliance procedures and any required SEC filings) Coordinate quarterly valuation and expense allocation meetings, including scheduling, preparation of materials, and meeting minutes Assist with the monitoring of investment guidelines and restrictions, LP side letter reporting requirements, and other contractual reporting obligations Maintain compliance records and document repositories Prepare organizational documents, resolutions, consents, and other governance materials Coordinate lender, vendor, investor, and financial institution Know Your Customer (KYC) requests and due diligence matters Support attorneys with special projects and compliance initiatives related to the fund platform Support the Corporate Secretary function through maintenance of governance records, minute books, and corporate documentation Coordinate and fulfill Corporate Secretary certificate requests, quarterly legal due diligence inquiries, good standing certificate requests, and officer and director information requests Assist with organization of Board and Committee materials, minutes, calendars, and related records Coordinate execution of documents, signature collection, and corporate filings Maintain legal department files and records, including Corporate Secretary documentation Assist with processing wire transfer documentation, forms, and other legal administrative matters Work with other members of the Legal Department on special projects and initiatives

MINIMUM REQUIREMENTS
Experience:
3-5 years of experience as a paralegal, legal assistant, compliance professional, or related legal operations role. Experience with corporate governance, entity management, private funds (including SEC rules and regulations applicable to RIAs), financial services, or compliance matters preferred.
Education:
Associate's or Bachelor's degree in Legal Studies, Business, or related field; Paralegal Certification preferred. Employment is contingent upon the successful completion of a background check, drug screening, and verification of employment, education, and other credentials relevant to the position.
COMPENSATION
Salaries may vary by location. The range for this role in New York is $82,000 - $104,000 plus bonus. Final compensation determinations are made based on a variety of factors, including, but not limited to, the candidate's individual experience, education, and skill level; business strategic priorities; primary office location; scope and anticipated strategic impact of the role.
