We are currently seeking a Real Estate & Transactional Associate with at least 3 to 5 years of experience to join our Boulder office. About the Opportunity This role is ideal for a motivated and business-minded attorney seeking to build a sophisticated real estate and transactional practice within a dynamic and fast-paced environment. The successful candidate will work closely with firm leadership and clients on a variety of commercial and residential real estate matters, leasing matters, regulatory compliance issues, corporate transactions and operational legal strategies across multiple jurisdictions. The position offers substantial client-facing responsibility and relies on a clear and approachable communication style. We are looking for a pragmatic legal professional who can balance technical legal analysis with practical business judgment while delivering exceptional client services and managing matters with increasing independence. Real Estate & Transactional Counsel Represent clients in commercial and residential real estate transactions, including acquisitions, financing, development, title and surveying matters. Draft, review, and negotiate purchase and sale agreements, operating agreements, easement agreements, development agreements, financing documents, and related transactional documents. Conduct and oversee due diligence review, including title, survey, zoning, land use, and entitlement. Advise clients regarding property ownership structures, conveyance strategies, and risk mitigation associated with real estate investments and operations. Counsel clients on title, escrow, brokerage, mortgage, and regulatory compliance matters across multiple jurisdictions. Analyze and resolve complex issues involving boundary disputes, encroachments, adverse possession and prescriptive easements, access rights, restrictive covenants, and land use exemptions. Commercial Leasing Draft, review, and negotiate sophisticated commercial lease agreements for office, retail, medical, industrial, and mixed-use properties. Advise landlords and tenants regarding lease structure, risk allocation, operational obligations, and dispute avoidance strategies. Review and negotiate lease amendments, renewals, estoppel certificates, SNDA agreements, and related leasing documentation. Counsel clients regarding common area maintenance (CAM) allocations; tenant improvement obligations; indemnification and liability provisions; assignment and subletting rights; default remedies and enforcement provisions; multi-site leasing arrangements; and property management and occupancy-related risks. Corporate & Operational Support Assist with entity formation, corporate governance, subsidiary management, and ongoing compliance matters. Support mergers, acquisitions, restructuring efforts, financing transactions, and other strategic business transactions. Draft and negotiate a wide variety of commercial agreements, operational contracts, and business transaction documents Advise clients on employment-related legal matters, including executive employment agreements; independent contractor agreements; confidentiality and non-compete agreements; separation and severance agreements; and workplace policy development and risk management strategies. Assist clients with the design, implementation, and administration of employee incentive and equity compensation programs. Collaborate with outside counsel, regulatory agencies, lenders, title companies, and governmental entities and other transactional stakeholders as necessary. Qualifications Juris Doctor from an accredited law school and active Colorado bar admission. Washington bar admission or ability to waive in is a plus. No less than 3-5 years of experience in sophisticated real estate law. Experience drafting and negotiating commercial leases and related real estate agreements. Familiarity with title review, escrow matters, brokerage operations, financing transactions, and regulatory compliance. Experience representing landlords, tenants, property owners, lenders, developers, investors, or business entities. Working knowledge of land use, zoning, easement, and property entitlement matters. Exposure to corporate transactions, mergers and acquisitions, and entity governance matters is a plus. Exceptional legal writing, drafting, negotiation, and analytical skills. Strong organizational skills with the ability to manage multiple projects and deadlines simultaneously. Strong interpersonal and communication skills, with the ability to explain sophisticated legal matters clearly and concisely. Compensation & Benefits Keating & Lyden offers a strong platform for long-term professional growth and advancement. Compensation includes annual salary range of $100,000 to $160,000, commensurate with experience; performance-based incentives and fee-sharing opportunities; flexible work environment with an emphasis on sustainable workload expectations; fully paid medical insurance; 401(k) retirement plan with company match (up to 3%); and paid time off (PTO).
