This role combines strategic counseling with sophisticated transactional work and offers significant client-facing responsibility. Technology Transactions Draft and negotiate software licensing agreements Prepare and negotiate SaaS agreements and cloud services contracts Draft technology development, implementation, and services agreements Negotiate Master Services Agreements (MSAs), statements of work, and vendor contracts Draft and negotiate technology-driven commercial agreements across a variety of industries Privacy & Data Security Advise clients on compliance with evolving privacy regulations Counsel businesses regarding CCPA, GDPR, and related privacy frameworks Draft and review privacy policies, terms of use, and consumer-facing disclosures Negotiate data processing agreements and data-sharing arrangements Advise on cybersecurity, risk management, and data governance issues Assist clients in navigating privacy-related disputes and regulatory concerns Artificial Intelligence & Emerging Technologies Advise clients regarding artificial intelligence and generative AI tools Draft and negotiate AI licensing and data use agreements Counsel businesses on emerging legal and regulatory developments impacting AI Advise on intellectual property ownership, training data, and commercialization issues Support clients operating in rapidly evolving technology sectors Strategic Business Counseling Act as an embedded legal advisor to innovative businesses Provide practical, business-focused guidance on complex legal issues Partner with executives and internal stakeholders on strategic initiatives Participate in client development, networking, and thought leadership opportunities Qualifications Required Significant experience in privacy, technology transactions, and commercial contracting Strong drafting and negotiation experience across a range of technology agreements Experience advising clients on privacy compliance and data security matters Active California Bar admission Benefits & Work-Life Balance Hybrid work environment with flexibility and autonomy Generous paid time off and paid parental leave Comprehensive medical, dental, and vision coverage Life, disability, and income protection benefits Health Savings Account (HSA) and Flexible Spending Account (FSA) options Employee assistance program with confidential counseling and support resources Wellness initiatives and health-focused programming Dedicated business development, marketing, and public relations support Formal mentorship and career development programs Firm leadership that values sustainable workloads and respects personal time This opportunity is particularly well suited for a senior associate or counsel-level attorney seeking sophisticated technology and privacy work, meaningful client relationships, greater professional autonomy, and a long-term platform for career growth within a highly respected practice.
