Job Description Summary:
The Senior Specialist, Corporate Governance, is a key contributor within Legal and Licensing and serves as the operational owner for end-to-end subsidiary maintenance for the Company's U.S. subsidiary portfolio. This role is responsible for the full entity lifecycle
  • formation through dissolution
  • including governance execution, maintenance of corporate records, and ongoing good standing across all applicable jurisdictions.
This role also supports licensing compliance activities, including Medicare and Medicaid regulations and enrollments, and works closely with Legal, Compliance, Finance, Tax, and Business stakeholders to provide governance expertise and support strategic business initiatives.
Job Description:
Job Summary The Senior Specialist, Corporate Governance (Legal & Licensing) supports the legal and licensing functions of Option Care Health, Inc., ensuring compliance with corporate governance best practices, regulatory requirements, and internal policies, with a focus on legal entity management and licensing processes. Job Responsibilities
  • Manage and maintain corporate records for all Option Care Health legal entities, including articles of incorporation, bylaws, and resolutions.
  • Coordinate and facilitate board of directors and committee meetings, including preparing agendas, drafting minutes, and maintaining official records.
  • Assist with the preparation and filing of various corporate governance documents, such as annual reports, statutory filings, and other regulatory submissions.
  • Support the legal team in managing and tracking licensing requirements for all relevant business operations across various jurisdictions.
  • Research and monitor changes in corporate governance laws, regulations, and best practices, advising on potential impacts and recommending necessary adjustments.
  • Collaborate with internal departments (e.g., finance, compliance, human resources) to ensure seamless information flow and adherence to governance procedures.
  • Assist in the development, implementation, and refinement of corporate governance policies and procedures.
  • Manage and track legal entity compliance calendars, ensuring timely completion of all required actions.
  • Participate in special projects related to corporate transactions, reorganizations, and other legal initiatives.
  • Maintain organized electronic and physical files for all corporate governance and licensing documentation. Job Qualifications
  • Bachelor's degree in a relevant field (e.g., legal studies, business administration, paralegal studies) or equivalent work experience.
  • 5+ years of experience in corporate governance, paralegal, or legal operations roles, preferably within a publicly traded company or regulated industry.
  • Strong understanding of corporate governance principles, legal entity management, and regulatory compliance.
  • Proven experience with legal research, document drafting, and minute taking for board and committee meetings.
  • Familiarity with licensing processes and requirements, particularly in a healthcare or highly regulated environment, is highly desirable.
  • Excellent organizational skills with a meticulous attention to detail and accuracy.
  • Strong written and verbal communication skills, with the ability to communicate complex information clearly and concisely.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and experience with corporate governance software or entity management systems.
  • Ability to work independently and as part of a team in a fast-paced, dynamic environment.
  • High degree of professionalism, discretion, and ability to handle confidential information. Due to state pay transparency laws, the full range for the position is below: Salary to be determined by the applicant's education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data. Pay Range is $23.72
