Johnson & Johnson announced plans to separate our Orthopaedics business to establish a standalone orthopaedics company, operating as DePuy Synthes. The process of the planned separation is anticipated to be completed within 18 to 24 months, subject to legal requirements, including consultation with works councils and other employee representative bodies, as may be required, regulatory approvals and other customary conditions and approvals. Should you accept this position, it is anticipated that, following conclusion of the transaction, you would be an employee of DePuy Synthes and your employment would be governed by DePuy Synthes employment processes, programs, policies, and benefit plans. In that case, details of any planned changes would be provided to you by DePuy Synthes at an appropriate time and subject to any necessary consultation processes. DePuy Synthes is recruiting for a Senior. Director, Business Dev. & Investment, located in Raynham, Massachusetts, or for preferred candidates, Raritan, New Jersey. The Senior Director, Business Development & Investment leads legal support for mergers and acquisitions, with both publicly traded and private companies, asset sales and purchases, venture investments, licensing, divestitures, reorganizations and complex strategic alliance agreements. Collaborating with other legal specialists, the Senior Director will advise senior executives on transaction risk management, structure and best practices on transactions. The role has a significant impact on innovation, competitive positioning, and sustainable growth across the orthopedics portfolio. Key Responsibilities Advise onthe transaction evaluation, risk mitigation,dealstructuring, competition lawreviewand negotiationof deal terms. Advise onventure capital investments, including on issues related to equity position or rights, Board positions, corporate governance issues, loanagreementsand any relateddisputes. Lead legal due diligence on transactions in collaboration with other functions, including health care compliance, regulatory and financeand advise on measures to address due diligence findings. Support business development professionals in presentations to senior executives for deal review and approval. Oversee drafting and negotiation of deals, including supervision of other lawyers. Manage outsidecounsel, including negotiating fees and overseeingmatter budgets. Qualifications Education Juris Doctor froma nationally recognizedlaw school. Admitted to practice inat least oneU.S.jurisdiction. Experience and Skills Required Typically requires 12-14+ years of progressive experience incorporate lawin a top-tier, major marketlaw firm or in-house in a global organization, with experience in mergers,acquisitions, divestitures, joint ventures,financingor licensing. Ability to analyze,structureand negotiate all elements of the transactions described above. Demonstratedexperience leading deal teamsor supervising other lawyerson transactions, including due diligence. Experience in cross-border or foreign transactions. Strong strategic thinking, negotiation, anddrafting skills. Presentation skills and proven abilityto influence executive‑level stakeholders andoperateeffectively in a complex, global organization. Strong collaborative skills and the ability to play a variety of roles in a deal. Preferred Representation of clientsin medicaldevice,medtech,orthopedics, or other highly regulated healthcare industries. Prior experience with transactions in the life sciences industry (i.e., pharmaceutical, medical device,medtechand/or consumerhealthcare) willbe viewed favorably. Experience working with early‑stage innovation, robotics, digital health,softwareor enabling technologies. Demonstrated experience in competition law review of transactions.Other Travel:

Pay Transparency:
Subject to the terms of their respective plans, employees are eligible to participate in the Company's consolidated retirement plan (pension) and savings plan (401(k)). This position is eligible to participate in the Company's long-term incentive program. Subject to the terms of their respective policies and date of hire, employees are eligible for the following time off benefits:- Vacation
