Corporate Transaction Paralegal Corporate Transactional ParalegalPotomac, MD | Full-Time | OnsiteSalary $75,000
  • $90,000 DOEOur client, a well-established law firm in Potomac, Maryland, is seeking a Corporate Transactional Paralegal to support its Corporate & Business Department.
This position is ideal for a paralegal with hands-on experience supporting corporate transactions, business entity management, and corporate compliance in either a law firm or in-house legal department.

The successful candidate will be highly organized, detail-oriented, and comfortable managing multiple matters simultaneously while supporting attorneys throughout the lifecycle of sophisticated corporate matters.

Responsibilities
  • Prepare and organize documents for business transactions from inception through closing.
  • Assist attorneys with business formations, including corporations, limited liability companies, partnerships, and nonprofit entities.
  • Prepare and file formation documents, annual reports, amendments, dissolutions, and other corporate filings with Secretaries of State nationwide.
  • Maintain corporate records, minute books, governance documents, and entity management databases.
  • Prepare corporate organizational documents, including:
  • Operating Agreements
  • Bylaws
  • Corporate Resolutions
  • Written Consents
  • Stock Certificates
  • Membership Certificates
  • Assist with due diligence reviews for mergers, acquisitions, financings, and other corporate transactions.
  • Prepare closing checklists, closing binders, signature packets, and post-closing documentation.
  • Prepare and file UCC financing statements, amendments, continuations, and terminations.
  • Coordinate registered agent services and maintain multi-state compliance calendars.
  • Conduct legal and factual research using Westlaw and other research platforms.
  • Track deadlines and maintain accurate electronic and physical client files.
  • Record billable time and meet monthly billing expectations.
  • Collaborate with attorneys, clients, financial institutions, and government agencies to ensure timely completion of corporate matters
  • Required Qualifications
  • 3+ years of experience supporting corporate and business law matters.
  • Experience in either:
  • Corporate department within a law firm, or
  • In-house legal department supporting corporate transactions.
  • Experience with corporate entity management and governance.
  • Strong knowledge of:
  • Entity formations
  • Secretary of State filings
  • Annual reports
  • Corporate governance documents
  • UCC filings
  • Corporate compliance
  • Experience preparing closing documents and supporting transactional matters.
  • Strong legal research and writing skills.
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Strong Microsoft Office proficiency.
  • Preferred Qualifications
  • ABA-approved Paralegal Certificate.
  • Bachelor's degree.
  • Experience with:
  • PerfectLaw
  • Westlaw
  • LexisNexis
  • iManage or similar document management systems
  • SharePoint
  • Experience supporting mergers and acquisitions, commercial lending, or other business transactions.
  • Ideal Candidate The ideal candidate has practical experience supporting corporate transactional matters and is comfortable handling entity formations, governance documents, Secretary of State filings, UCCs, due diligence, and business closings.
