Registered Private Placement Representative- Capital Markets

Job Description

Job Summary The Registered Private Placement Representative will identify and communicate with qualified prospective investors, present approved offering information, and assist with the subscription process for a private securities offering. The representative must conduct all securities-related activities in accordance with the applicable offering documents, federal and state securities laws, the policies of the supervising broker-dealer, and written instructions from the Company's securities counsel. Responsibilities Develop relationships with prospective accredited and institutional investors consistent with the approved offering strategy. Conduct investor outreach only through methods authorized for the applicable securities exemption. Present only offering materials, financial information, projections, and other communications approved by the supervising broker-dealer and securities counsel. Explain the offering accurately without making guarantees, unsupported claims, or unauthorized representations. Assist prospective investors with the approved qualification, due-diligence, subscription, and accredited-investor-verification processes. Maintain complete records of investor contacts, communications, presentations, and follow-up activities. Coordinate with the broker-dealer's registered principal, compliance department, Company management, legal counsel, and finance team. Follow all applicable investor suitability, customer-identification, privacy, recordkeeping, advertising, and communication requirements. Immediately escalate investor complaints, compliance concerns, conflicts of interest, and potential disclosure issues. Refrain from accepting investor funds personally or directing funds to any account other than an account formally approved for the offering. Refrain from modifying investment terms, offering documents, subscription documents, or Company disclosures without written authorization. Required Qualifications Current Securities Industry Essentials, or SIE, examination qualification. Current Series 82 Private Securities Offerings Representative registration or Series 7 General Securities Representative registration appropriate for the assigned activities. Current Series 63 or other applicable state securities qualification and eligibility for registration in the jurisdictions in which investors will be contacted. Current association with a FINRA-member broker-dealer, or the ability to become associated with the Company's approved broker-dealer before beginning any securities solicitation activity. Demonstrated experience with private placements, Regulation D offerings, accredited investors, or similar capital-markets transactions. Working knowledge of federal and state securities requirements, private-placement communications, offering documents, investor qualification, and subscription procedures. Ability to follow strict compliance and supervisory procedures. Strong written and verbal communication skills. Ability to maintain accurate and complete investor-contact and transaction records. Eligibility to associate with a FINRA-member firm and participate in the offering following all required regulatory, disciplinary, background, and Rule 506(d) reviews. Preferred Qualifications Three or more years of private-placement or capital-markets experience. Experience with Regulation D Rule 506(b) or Rule 506(c) offerings. Existing relationships with accredited investors, family offices, institutional investors, or registered investment professionals, subject to applicable solicitation and privacy requirements. Experience working with private companies in the mining, natural-resources, medical-device, biotechnology, or emerging-growth sectors. Familiarity with FINRA-supervised communications and private-placement due diligence.
Compensation and Supervisory Structure:
Compensation starting at $5,000 + and is negotiable . Any compensation connected to securities transactions, investor subscriptions, or capital raised will be structured, reviewed, supervised, and paid in accordance with applicable law and the policies of the Company's approved FINRA-member broker-dealer. The representative will not receive unauthorized transaction-based compensation directly from the issuer or an affiliated entity. Employment does not authorize the representative to offer or sell securities before all required registrations, broker-dealer approvals, state qualifications, background reviews, offering approvals, and supervisory arrangements have been completed. Regulatory Disclosures Final candidates will be required to provide complete and accurate information regarding applicable employment, regulatory, disciplinary, civil, criminal, financial, and litigation history. Candidates must complete the Company's and broker-dealer's required compliance questionnaires, including any Rule 506(d) "bad actor" inquiry. The existence of a reportable matter will be evaluated in accordance with applicable law, regulatory requirements, and broker-dealer procedures.
