Position Summary We are seeking an experienced and highly organized Corporate Governance Specialist to carry out various corporate governance and regulatory responsibilities while also providing top-level support to our board of directors. The ideal candidate will possess exceptional communication and organizational skills, a proactive mindset, and the ability to manage multiple priorities in a fast-paced, hybrid work environment. Strong interpersonal and collaboration skills are crucial in ensuring the smooth operation of corporate governance functions and enhancing productivity. This role will have a hybrid work schedule in our Boston office in accordance with the Bank's Hybrid Work Program. More time will be expected in the office to support onboarding initially, up to 90 days. Limited travel within the six New England states expected to be less than 5% annually, with occasional overnight stays required. Anticipated Pay Range The anticipated base pay range for this role is $80,500 - $132,250. This role is classified as non-exempt. This role is based in Boston with weekly in-office expectations. The base pay posted represents the annual base pay range or hourly wage range that we expect to offer for this job opportunity. The actual base salary offer will depend on a variety of factors including relevant experience, required skills and other relevant factors. The range noted here is not indicative of all positions in the job grade within which this position falls. FHLBank Boston Specific Responsibilities Board & Committee Governance Support:
Schedule, organize, and support all regular and special meetings of the Board of Directors and board-level committees. Manage uploading periodic board votes/resolutions, director questionnaires, and eligibility certifications. Take minutes of meetings of the Board as well as meetings of the Bank's Management Committee, as needed. M aterials,
Agenda, and Minutes:
Establish and communicate deadlines for Board and board-level committee materials; compile, review, and distribute meeting packages; draft Board action items and minutes (including board-level committee minutes) and coordinate reviews to ensure accuracy and timeliness.
Diligent Board Portal:
Manage Diligent Board Portal including site management and managing users, committees, and roles. Manage the Diligent vendor review process and contract renewals.
Attendance, Fees, and Expenses Management:
Prepare Board fees spreadsheet for Accounting, track board members attendance, and prepare annual directors fees meeting template for the FHFA. Process board expense reports for reimbursement.
Project Management:
Assist in managing key projects and initiatives in support of the Legal department by tracking progress, deadlines, and deliverables. Examples include the annual certifications and forms required by the Bank's Ethics Program, supporting the annual director election process, managing the Bank's delegations of authority, and responding to regulatory information requests.
Director Onboarding & Orientation:
Coordinate new Director orientation; onboard new Board members by arranging access, schedules, accommodations, and resources (including provisioning devices as required) and serving as a primary point of contact for meeting-related needs.
Records, Confidentiality, and Compliance:
Maintain confidential Board and executive records in accordance with retention and security protocols; post required materials to secure internal/external portals (e.g., records management sites) and support regulatory/secure submissions as needed.
Team Collaboration:
Work closely with the Management Committee and other team members and departments to facilitate communication and ensure alignment on organizational goals. Other duties, as assigned
Qualifications Education:
A degree in Business Administration, Communications, or a related field or relevant work experience is required.
Experience:
Minimum of 5 years of experience in an assistant corporate secretary, governance coordinator, or other similar role. Required Qualifications Demonstrated experience supporting corporate governance functions, including Board and committee meeting coordination. Proven ability to draft or compile meeting materials and prepare minutes with a high degree of accuracy, judgment, and confidentiality. Strong organizational skills with the ability to manage multiple priorities, deadlines, and stakeholders in a fast-paced environment while maintaining strong attention to detail. Experience administering Diligent Boardbooks (or a comparable board portal solution) including user access management and content publishing. Proficiency with Microsoft Office (Outlook, Word, Excel, PowerPoint). Excellent written and verbal communication skills, with a professional presence and strong customer service orientation. Ability to handle highly confidential information with discretion and sound judgment. Preferred Qualifications Experience working in a regulated financial services environment and/or supporting a Board of Directors. Familiarity with data analytics tools, such as Power BI and artificial intelligence applications. Familiarity with records retention, secure document management, and regulatory or confidential submissions.
