Job Description
Our client is seeking an Independent CEO Search Governance and Transition Advisor to support the Board of Directors and CEO Search Committee during a CEO search and leadership transition. This consultant will provide independent governance oversight to help ensure a fair, confidential, and well-structured search process.
This is not a recruiting role. The executive search firm will manage candidate recruitment and assessment, while this advisor will establish and monitor the governance framework surrounding the search. Experience in the nonprofit industry is required. This role is a part-time consulting role expected to be about 8 hours a week of commitment. This role can be fully remote.
Key ResponsibilitiesDevelop the governance structure for the CEO search, including charter documents, decision-rights, confidentiality, conflict-of-interest, recusal, and communication protocolsClarify roles of the Board, Search Committee, CEO, COO, Corporate Secretary, and search firmAdvise the Search Committee on governance risks, Board independence, and process integrityEstablish clear boundaries for the Corporate Secretary's role in supporting the searchCreate a fair and consistent protocol for evaluating the internal candidate alongside external candidatesCoordinate with the executive search firm to ensure alignment with the Board-approved governance frameworkSupport documentation of key decisions, recusals, and process milestonesFacilitate sensitive governance discussions and escalate material concerns when appropriate
